Commercial Counsel

Do you want to support Rituals’ explosive international growth as our new Commercial Counsel? This is the vacancy for you!

As a Commercial Counsel at Rituals, you’ll be the trusted legal partner for our Master Franchisee team, drafting, managing, and negotiating territory development agreements. You’ll also play a key role in supporting our Wholesale, Travel, and B2B teams by onboarding new shop-in-shop partners and ensuring the integrity of our selective distribution system. On top of that, you’ll collaborate with our Digital Marketplaces team to establish cutting-edge digital brand stores.

In addition, you’ll provide expert advice and deliver impactful training sessions on competition law to empower the business. Your mission? To minimize legal risks and optimize Rituals’ legal position in all our distribution activities.

Key Activities and Responsibilities

• Contract Management: Drafting, reviewing, and negotiating distribution contracts, including franchise agreements, B2B contracts, digital platform sales agreements, selective distribution agreements, and agency agreements.
• Compliance: Ensuring compliance with relevant laws and regulations, with a primary focus on competition law (experience with selective distribution systems is a plus).
• Advice and Support: Providing legal advice to internal stakeholders, including the Master Franchise team, B2B team, Digital Markets team, Wholesale team, and Travel team.
• Training and Awareness: Developing and delivering training to colleagues on legal issues and compliance, with a focus on competition law.
• Stakeholder Management: Effectively managing relationships with key stakeholders in the central head office as well as in the operating entities,
• Improving Ways of Working: Enhancing processes and creating templates that breathe simplicity.

The Commercial Counsel plays an important role in the sustainable growth of the distribution activities of Rituals.

The role is part of the Rituals Legal Team and reports directly into the General Counsel. Over the past few years, our Legal Team has grown into a diverse group of nine talented lawyers. The team consists of proactive, strategic business partners. They oversee a broad range of responsibilities, including managing our Brand Office and Privacy Office, while playing a vital role in international projects like our market expansion into China and partnerships across the APAC region.

• A minimum of 4 years’ experience in a similar role (as an Attorney-at-Law or Legal Counsel). LL.M from Dutch university
• Solid expertise in distribution contracts, including selective distribution agreements, digital platform agreements, franchise agreements, and agency agreements
• Knowledge of competition law, with experience in selective distribution systems being a big plus. Experience with agreements under Dutch law is also a plus
• Retail experience is advantageous but not required
• Exceptional negotiation and communication skills
• Sharp thinking and the ability to solve complex problems in a practical way
• The ability to thrive under pressure while effectively prioritizing tasks
• A proactive team player with a flexible and adaptable mindset
• Organized and goal oriented
