About the role


We are hiring an Associate General Counsel, Commercial Contracts to lead Afiniti's commercial contracting function, serving as a high-impact functional lead on the legal team. You will own the full lifecycle of customer, partner, and vendor contracting for a private equity-backed, multinational AI company at a transformative point in its history, balancing speed for the sales organization against disciplined risk management. You will also serve as a senior legal advisor and key liaison to the organisation working closely with the wider legal team on corporate governance and intellectual property matters, as required.

This role is based in Ireland and sits at the centre of our global operations. You will work regularly with team members throughout the organization in Sales, Revenue Operations, Procurement, Finance, Tax, Security, and senior stakeholders.


 


Key Responsibilities


Customer, Partner, and Vendor Contracting



  • Partner with business stakeholders, including the Tax team, to align product and commercial strategies and objectives.

  • Lead the drafting, review and negotiation and execution of a wide variety of commercial agreements including master services agreements, customer contracts, statements of work, order forms, and renewals with global enterprise customers.

  • Negotiate strategic partner and ecosystem agreements, including CCaaS platforms, hyperscalers, resellers, and systems integrators.

  • Partner with Legal, Procurement and business stakeholders on vendor contracting across the organisation, including software, cloud, data, professional services, marketing, and real estate agreements.

  • Advise the business on commercial terms that materially drive outcomes for a multinational AI company, including performance measurement and gain-share constructs, service levels, data rights, AI and model use, intellectual property ownership, liability, indemnities, and termination.

  • Own and continue to mature our AI-enabled contracting stack, including AI-assisted contract review and repository, and identify further opportunities to automate and accelerate the contracting cycle, including defining and reporting on key contracting metrics.

  • Support requests for proposal (RFPs), as well as customer due diligence, risk questionnaires, and audits.


 


Contracting Strategy, Operations, and Enablement



  • Own and continue to mature the company’s AI-enabled contracting capabilities, including AI-assisted contract review and repository solutions.

  • Identify further opportunities to automate and accelerate the contracting cycle, including defining and reporting on key contracting metrics.

  • Champion contracting process improvement across the business.

  • Maintain and refresh contract templates, playbooks, fallback positions, and approval matrices; drive consistency across regions.

  • Mentor attorneys and non-attorney contributors on commercial contract matters.


 


Irish and Cross-Functional Responsibilities



  • Serve as a senior legal advisor and key liaison to the organisation and working closely with the Legal team on corporate governance and intellectual property matters, as required.

  • Advise on corporate governance matters, including board and IP committee support, governance frameworks, corporate secretarial matters, and entity management.

  • Work closely with the wider Afiniti Legal Team to provide strategic and legal input on matters across different business areas and cross-functional initiatives.

  • Provide general legal support to the Irish entity and to European commercial matters.

  • Contribute to the department’s AI adoption strategy, OKRs, budget management, and long-term planning, and manage outside counsel for commercial matters, including budgets and billing guidelines.

  • Lead or support special projects as assigned by the General Counsel or his delegate.


 


Qualifications



  • Qualified to practise in-house in Ireland. Candidates qualified elsewhere in the EU or EEA, in England and Wales, or in the United States are welcome to apply where they are able and willing to complete the applicable Irish registration or transfer requirements.

  • Resident in, and legally entitled to work in, Ireland.

  • 8+ years of progressive experience, ideally combining a top-tier law firm with in-house commercial contracting at a multinational technology, software, or AI company headquartered in Ireland.

  • Demonstrated expertise negotiating complex, high-value enterprise technology agreements for global, multinational companies based in Ireland directly with sophisticated counterparties and their counsel.

  • Working knowledge of GDPR and other data protection regulations as they arise in commercial contracting; familiarity with the EU AI Act and AI governance frameworks is a strong plus.

  • Experience with contract lifecycle management and AI-assisted contract review tools, and genuine enthusiasm for using technology to improve legal delivery.

  • Comfort in a lean, generalist environment where flexibility across coverage areas is expected, and experience mentoring or supervising others.

  • Strong business judgment, excellent written and verbal communication, and a collaborative, service-oriented posture toward internal clients.
