ABOUT OUR CLIENT

Our client is a full-service commercial law firm focusing on Dispute Resolution, Corporate Commercial and Real Estate. Its work predominantly comes from UK businesses, SMEs, overseas organisations, individual investors, property investors, developers and overseas individuals.

The firm operates through a collaborative team structure. The Corporate Commercial team works closely with the Real Estate and Dispute Resolution teams to provide comprehensive and commercially focused legal services.

THE ROLE: CORPORATE COMMERCIAL SOLICITOR

The Corporate Commercial Solicitor will advise on a broad range of corporate and commercial matters, including mergers and acquisitions, business sales and acquisitions, shareholder and partnership arrangements, commercial contracts, corporate restructures, general company law and corporate governance.

The role will also provide exposure to commercial property matters where these arise in connection with corporate and commercial transactions, including acquisitions and disposals, commercial leases, landlord and tenant matters, property-related aspects of business sales and acquisitions, and transactions involving property-owning companies.

The successful candidate will manage their own caseload, draft and progress matters through to conclusion, build strong client relationships and provide practical and strategic advice. Depending on the individual, the role may involve direct client contact, with supervision and support provided.

The emphasis of the role will remain Corporate Commercial, with commercial property providing an additional area of expertise and exposure to more complex and varied commercial transactions.

KEY RESPONSIBILITIES

• Advise clients on mergers, acquisitions, disposals and other corporate transactions.


• Advise on share purchases and sales and business acquisitions and disposals.


• Draft and negotiate share purchase agreements and other transaction documentation.


• Draft and negotiate shareholder agreements, partnership agreements and investment documentation.


• Advise directors, shareholders and business owners on company law and corporate governance.


• Advise on corporate restructures and reorganisations.


• Draft, review and negotiate commercial contracts.


• Manage corporate transactions from initial instruction through to completion.


• Provide commercially focused and practical legal advice to clients.


• Develop and maintain strong client relationships.


• Handle instructions in terms of drafting and progressing matters to conclusion.


• Manage commercial property acquisitions and disposals where required.


• Advise on commercial leases and licences.


• Advise on landlord and tenant matters.


• Handle property-related aspects of business sales and acquisitions.


• Work on property investment transactions.


• Work on transactions involving property-owning companies.


• Review and report on commercial property title and documentation.


• Work with lenders, agents, surveyors and other professional advisers where appropriate.


• Build and maintain strong relationships with clients.


• Provide clear, practical and commercially focused legal advice.


• Take responsibility for managing your own caseload.


• Work collaboratively with colleagues across the firm.


• Contribute to the development of the firm's client base and profile.


• Identify opportunities to develop existing client relationships.


• Assist with networking and business development activities where appropriate.


• Work on multi-disciplinary matters alongside colleagues in other practice areas where required.

ABOUT YOU

• UK experience is crucial, with an understanding of UK law highly desirable.


• Experience managing corporate and commercial matters, including company transactions and commercial contracts.


• Experience advising on a broad range of corporate and commercial transactions.


• Experience advising on mergers and acquisitions, shareholder agreements, share purchases, asset sales and company restructures.


• Experience advising on general corporate governance and company law matters.


• Strong drafting, negotiation and analytical skills.


• Ability to draft, review and negotiate a broad range of commercial agreements.


• Ability to manage a varied caseload while delivering commercially focused advice.


• Expertise to handle instructions in terms of drafting and progressing matters to conclusion.


• Excellent client care and communication skills.

• Understanding of the interaction between corporate transactions and commercial property.


• Interest in developing additional expertise in commercial property.
