The Team
An international team (with more than 30 nationalities) with complementary education and experience in the investment, medical, scientific, strategic and operational sectors
Composed of alumni from: INSEAD, Berkeley, Georgetown, Bocconi, HEC Paris, Ponts et Chaussées, ESSEC, Imperial College, Dartmouth, etc.
Professional backgrounds: Private Equity (3i, Siparex, USS Ltd, Barings, capiton), Consulting (A.T. Kearney, Bain, McKinsey), M&A (Lazard, EY, KPMG, PwC), Industry (Biotronik, Cerba, Pharmacy, Veterinary)
Role Overview
We are seeking a Legal Manager to join our growing legal team. This role is designed for a high-calibre lawyer who can independently manage a diverse legal portfolio, covering fund formation, M&A transactions, and the broader corporate governance framework that underpins our investment activities.
The position is structured to expand the team’s capacity, with responsibilities split by geography and competency. The successful candidate will be expected to manage their workstream autonomously, bringing the rigour and professionalism gained from top-tier private practice into an in-house PE environment.
Key Responsibilities
Draft, Review and negotiate a variable portfolio of commercial contracts multiple jurisdictions
Draft, Review and provide legal advice and support on early-stage transaction documents such as NDAs, Letters of Intent and Term Sheets as well as value added support on selected due diligence topics,
Support investment teams with reviewing engagement letters with key advisors to safeguard ARCHIMED interests, ensure alignment on fee arrangements and identify and address key legal and regulatory risks supporting informed decision making
Provide legal advice and support on selected investment opportunities or on existing portfolio companies assisting with identifying and assessing key legal and regulatory risks and supporting senior investment team members with clear, concise advice, supporting informed decision making related to such legal and regulatory risks
Support functional managers and committees with reviewing commercial contracts, assessing key legal and regulatory risks and supporting such managers and committees with clear, concise advice, supporting informed decision making
Participate in various projects as a contributor in the capacity as legal expert
Education
Law degree required; jurisdictions of preference include the United States, United Kingdom, Germany, or Spain
Professional Experience
Minimum 5 years’ experience (ideally at least with 3 years’ of practice experience at a reputable law firm in a corporate, transactional, or private equity-focused practice area)
M&A focused experience working on cross-border transactions documented in English is essential; fund formation experience is a strong plus
Experience reviewing a broad spectrum of corporate contracts in the capacity as a generalist will be considered a plus
Experience working with or advising private equity firms will be considered a plus
Skills & Competencies
Material transactional and commercial understanding with the ability to navigate complex multi-jurisdictional matters
Ability to work autonomously and manage a legal portfolio with minimal supervision
Strong document drafting and verification capabilities
Ability to identify risks, prioritize observations and communicate legal findings and recommendations clearly
Fluency in English is mandatory for the role (additional European languages are a plus)
Collaborative mindset with the ability to operate effectively across an international team.
