Job Summary

The Legal Representative will support the company in all legal, corporate, and regulatory matters, including drafting and reviewing legal documents, advising management on compliance requirements, and ensuring adherence to UAE laws and real estate regulations. The role requires strong expertise in corporate law, joint ventures, transaction support, and real estate-related legal documentation.

Key Responsibilities

Corporate & Transactional Drafting

• Draft, review, and negotiate a wide range of legal documents, including:
  • Joint Venture Agreements
  • Term Sheets
  • Heads of Terms
  • Sales & Purchase Agreements (SPA)
  • Loan Agreements
  • Shareholder Agreements
  • Memorandum of Association (MOA)
  • Articles of Association (AOA)
  • Share Transfer Agreements
  • Share Pledge Agreements
  • Power of Attorney (POA)
  • Other legal and corporate documents

Corporate Structuring & Incorporation

• Manage company incorporation for UAE Mainland and Free Zone entities.
• Liaise with government authorities and regulatory bodies for:
  • Licensing
  • Name approvals
  • Corporate amendments
  • Regulatory compliance
• Ensure corporate structures comply with UAE laws and business requirements.
• Draft and amend MOAs and AOAs across all UAE jurisdictions.
• Prepare:
  • Powers of Attorney (POAs)
  • Shareholder Resolutions
  • Board Resolutions

Legal Advisory

• Provide timely legal advice to senior management on corporate, commercial, and regulatory matters.
• Identify legal risks and recommend mitigation strategies.
• Support transactions by ensuring appropriate legal protection.

Compliance & Corporate Governance

• Ensure compliance with:
  • UAE Companies Law
  • UAE Commercial Law
  • Federal and Emirate-level regulations
• Develop, implement, and update corporate governance frameworks.
• Support internal teams with legal interpretations and regulatory guidance.

Real Estate & RERA

• Advise on UAE real estate laws, regulations, and compliance requirements.
• Knowledge of RERA regulations is preferred.

Qualifications

• Qualified Lawyer.

Experience

• 5–8 years PQE.
• Minimum 3+ years PQE gained at a reputable international law firm within the UAE.
• Strong experience in:
  • Corporate Law
  • Commercial Law
  • Real Estate Law
  • Regulatory Compliance

Required Skills

• Exceptional legal drafting and contract negotiation skills.
• Strong analytical and problem-solving abilities.
• Excellent understanding of UAE corporate and commercial legal frameworks.
• Ability to work independently while collaborating with multidisciplinary teams.
• Excellent communication and stakeholder management skills.
• Fluent in English.
• Arabic language proficiency is an advantage.
