Pay: $120,000.00 - $160,000.00 per year

Location:

Falls Church, Virginia, conveniently located just inside the Washington, D.C. Beltway. We offer a flexible hybrid environment with the ability to work partially remotely. Greater remote flexibility, including fully remote arrangements within the U.S., may be considered for an exceptional candidate.

Note:

Candidates should have 2+ years of experience in general corporate law, licensing and transactional matters, franchise law, or commercial litigation. Strong commercial contract drafting, independent project management, legal research, and written communication skills are essential. Prior franchise law experience is welcome but is not required.

Job Description

• Advise businesses on corporate, commercial, transactional, licensing, and franchise-related legal matters.
• Draft, review, analyze, and negotiate commercial contracts, license agreements, franchise agreements, and related business documents.
• Assist with the development and ongoing operation of franchise systems and related regulatory requirements.
• Prepare and review franchise disclosure and other regulatory documents.
• Support corporate transactions, private equity matters, M&A transactions, licensing programs, and other commercial arrangements.
• Counsel clients regarding ongoing business relationships, contractual obligations, and regulatory issues.
• Conduct legal research using Westlaw and prepare clear, practical legal analysis.
• Draft contracts, correspondence, memoranda, and other sophisticated legal documents.
• Independently manage projects, priorities, deadlines, and client matters.
• Collaborate closely with transactional, regulatory, counseling, litigation, and paralegal teams.
• Develop strong relationships with clients while becoming a trusted resource on their legal and business needs.

Qualifications

• 2+ years of relevant attorney experience.
• Experience in general corporate law, licensing and transactional law, franchise law, or commercial litigation.
• Experience understanding, analyzing, and drafting commercial contracts and/or license or franchise agreements.
• Excellent legal drafting, writing, analytical, and communication skills.
• Ability to independently manage projects and competing priorities.
• Experience conducting legal research using Westlaw.
• Strong academic credentials and commitment to producing high-quality work.
• Ability and desire to learn new areas of law, particularly franchise law and regulation.
• Strong interest in client interaction, relationship development, and professional growth.
• Prior franchise law experience is preferred but not required.
