Corporate Practice Group Attorney

A well-established western suburban law firm is seeking an experienced attorney to join its Corporate Practice Group in Wheaton, Illinois. The opportunity is focused on sophisticated corporate and transactional matters, with particular emphasis on mergers and acquisitions and related transactions.

Responsibilities

The attorney will advise clients on mergers, acquisitions, divestitures, restructurings, and other sophisticated corporate transactions. Responsibilities also include:

• Handling debt and equity offerings
• Advising on entity selection and formation
• Handling general corporate matters
• Drafting, reviewing, and negotiating sophisticated commercial contracts
• Taking significant responsibility for client matters
• Leading teams on transactional projects
• Providing practical legal guidance directly to clients
• Maintaining a high level of client interaction and service

Qualifications

• The position prefers 8+ years of relevant legal experience, while the recruiting discussion characterized the opportunity as a 5–10-year role. Strong M&A and transactional experience is particularly important.
• Candidates should have experience with acquisitions and divestitures, restructurings, debt and equity offerings, entity formation, general corporate matters, and sophisticated commercial contracts. Excellent drafting and negotiation skills, sound judgment, attention to detail, effective client communication, and the ability to lead teams are also important.

Compensation & Benefits

• Salary range: $120,000 - $170,000
• The position also offers incentive compensation based on fees collected minus the attorney's overhead or “gate.” The benefits package includes medical, dental, and vision coverage; disability and life insurance; flexible spending accounts; HSA eligibility; a 401(k) with profit sharing; vacation and sick time; paid holidays; partially paid parental leave; and additional reimbursement programs.
