Location: Columbia, MD or Rockville, MD. This role is designed around meaningful in-office collaboration, particularly while getting established with our team. Hybrid flexibility is available as performance goals and benchmarks are successfully met.

Note: Candidates must be actively licensed to practice law in Maryland and have 2+ years of directly relevant business transactional experience.

Job Description

• Counsel business owners and organizations on a broad range of transactional and corporate matters.
• Draft, review, and negotiate commercial contracts, operating agreements, shareholder agreements, and related business documents.
• Advise clients on entity formation, governance, ownership structures, and business transactions.
• Support mergers, acquisitions, reorganizations, and other strategic transactions as applicable.
• Identify legal and business risks and provide practical, commercially focused solutions.
• Manage transactional matters from initial consultation through drafting, negotiation, and closing.
• Build strong client relationships and serve as a trusted advisor on ongoing business needs.
• Collaborate with attorneys, staff, accountants, financial professionals, and other advisors.
• Contribute to business development efforts and take an active role in growing your own practice within the firm.

Qualifications

• Active Maryland Bar license required.
• 2+ years of business transactional experience required.
• Strong contract drafting, negotiation, and client counseling skills.
• Experience with corporate governance, entity formation, commercial agreements, or business transactions.
• Ability to independently manage matters while collaborating effectively with a team.
• Excellent written, verbal, organizational, and analytical skills.
• Genuine interest in growing professionally and helping build the practice.
• M&A, succession planning, tax-sensitive transactions, or closely held business experience is a plus.
