Pay: $210,000.00 - $250,000.00 per year

Location:

Baltimore, MD. This is an on-site opportunity offering regular collaboration with attorneys and transaction teams in our Baltimore office.

Candidates must be admitted to practice law in Maryland and have 3+ years of directly relevant corporate transactional and M&A experience.

Job Description

• Draft and negotiate stock purchase agreements, asset purchase agreements, merger agreements, and related transaction documents.
• Manage corporate transactions from due diligence and negotiation through documentation and closing.
• Coordinate transaction teams involving attorneys across multiple legal disciplines and practice areas.
• Structure, form, and capitalize corporations, limited liability companies, partnerships, joint ventures, and other business entities.
• Draft and negotiate operating agreements, shareholder agreements, partnership agreements, joint venture agreements, and commercial contracts.
• Advise corporate clients on acquisition strategies and ongoing legal and business needs.
• Work closely with senior attorneys and clients to identify issues, manage deal timelines, and move transactions efficiently toward closing.
• Assist with corporate governance matters, securities matters, compliance requirements, and related filings as appropriate.

Qualifications

• JD from an accredited law school.
• Active Maryland bar license required.
• 3+ years of directly relevant corporate transactional and M&A experience.
• Hands-on experience drafting and negotiating acquisition and corporate transaction documents.
• Experience managing transactions through due diligence, negotiation, documentation, and closing.
• Strong drafting, analytical, organizational, and client communication skills.
• Ability to work independently while contributing effectively to larger transaction teams.
• Corporate governance and securities experience is preferred but not required.
