Job Description - Corporate Paralegal

In the role of Corporate Paralegal, you will expand your professional skills within a growing, global S&P 500 company. Working in support of over 50 business units, you will apply your previous knowledge to oversee corporate governance support.  Within a close team of attorneys and paralegals, you will grow your specialization and continue to support your professional growth as well as the growth of the organization.


 


The Opportunity:
As a Corporate Paralegal, you will support our in-house legal team by managing essential business processes efficiently and accurately.  You will work under the direction and oversight of the Corporate Counsel.


 


HOW YOU WILL MAKE AN IMPACT:



  • Manage ≈175 domestic subsidiaries.

  • Prepare and maintain minutes, resolutions, various corporate filings, and other corporate records for AMETEK’s domestic entities.

  • Assist with the preparation of board meeting materials for various domestic AMETEK entities, including maintenance of minute books.

  • Manage, update, and circulate entity organizational charts and other company databases with respect to domestic subsidiaries.

  • Notarize documents (and obtain apostille/legalization as required).

  • Support post-closing M&A activities by preparing acquisition summaries and managing post-closing calendar for deadlines.

  • Prepare and file Forms 3, 4 and 5 for Section 16 officers.

  • Prepare and submit AMETEK’s application to renew export license with the government.

  • Filing, copying, records retention and other administrative tasks.

  • Various other duties as assigned.


 


WHAT YOU WILL BRING TO THE ROLE:



  • High School Diploma/GED required; college degree preferred.

  • Paralegal Certificate required.

  • Minimum of 3-5 years of paralegal or relevant experience, preferably in a corporate law department.  Translatable experience includes contracts, intellectual property/patents, and/or generalist tasks.

  • Notary Public certification required.

  • Microsoft Office Suite, including Visio


 


Hybrid role:  Office = 4 days/week; Home Office = 1 day/week
