Job Description - Corporate Paralegal

Centric Infrastructure Group - Corporate Paralegal - Job Summary:

 

The Corporate Paralegal will report directly to the General Counsel and work closely with company’s executive management. Key responsibilities will include assisting with the negotiating and drafting services agreements with real estate developers and infrastructure contractors, as well as supporting a wide range of corporate and regulatory-related matters – including securing franchise agreements with municipalities and interacting with regulators. The work is complex and requires sound experience in contract and transactional law, contract negotiation and drafting, the ability to understand and negotiate large, complex transactions. Centric is a high-growth, private-equity backed company, located in The Woodlands, Texas, that provides best-in-class high speed internet and natural gas services to new developments and master-planned communities throughout Texas and Florida, with plans to expand further.

 

Experience:

·       Ideal candidate will have experience: (i) drafting and negotiating contracts related to land developers, homebuilders and HOA’s; and (ii) handling contracts related to providing natural gas and fiber services to residential, commercial and IDS customers;  

·       Further experience as a corporate paralegal, corporate record keeping, entity management and upkeep would be a plus.

Key Responsibilities: 

·       Work closely with General Counsel to: update, draft, negotiate and manage various business related contract documents; further coordinate legal issues related to contract with outside counsel (when necessary) 

·       When negotiating business contracts, must be able to coordinate (individually and in meetings) with cross functional teams (legal, business development, gas and fiber operations, finance, IT, etc.) and legal colleagues (data privacy, employment, alliance) to provide a comprehensive risk assessment and risk management related to the contracts being negotiated.

·       Ability to understand and ensure contractual documents are and remain compliant with contract terms, regulations, policies, as well as maintaining a firm understanding of any changes in corporate policies, organizational structure, and procedures.

·       Provide advice on contracts being negotiated based on the appropriate balance of risk mitigation and business interests, on a real-time basis, to the General Counsel and other executive management.

·       Identify the projects that require escalated communication to and consultation with the General Counsel (or other functions) and advise relevant teams, internal functions accordingly.

·       Work independently on nonrecurring projects, with limited direction, and will need to draw upon extensive knowledge and experience to deliver top-quality work.

 

To qualify, candidates must have:

·       Meticulous organization skills and strong interpersonal and leadership skills.

·       Demonstrated ability to create, plan and successfully execute projects; the ability to meet multiple deadlines in a fast-paced environment.

·       Ability to manage and prioritize work on multiple projects.

·       Excellent verbal and written communication skills; ability to interface and communicate effectively and diplomatically with all levels of the organization, external stakeholders, and developer partners.  

·       Ability to understand, and accurately articulate and document, complex transactions.

·       Highly responsive with ability to manage high workload volumes efficiently and effectively.

·       Commercial solution-oriented thinking with focus on exceptional client service. 

·       Comfortable proceeding and work independently with limited supervision based on guidance and general direction rather than hands-on micromanagement and supervision.

·       Limited travel required.

 

 

 



Requirements

Educational and Licensure Requirements:

·       A bachelor's degree from an accredited 4-year college.

·       Accredited Paralegal and/or Doctor of Jurisprudence Degree.

·       Approximately 5+ years of relevant experience within a law firm or a corporate legal department. 

·       Location – Centric Headquarters, The Woodlands (no remote)
