Position: Corporate - Securities Regulation & Corporate Governance

Job Responsibilities:

• Provide expert legal counsel on securities regulation and corporate governance matters to clients.


• Draft, analyze, and review legal documents, including IPO registration statements, SEC filings, and corporate governance policies.


• Advise clients on compliance with federal and state securities laws, corporate governance best practices, and risk management.


• Conduct due diligence and research to support corporate transactions and securities offerings.


• Collaborate with cross-functional teams to provide comprehensive legal solutions that align with client objectives.


• Stay current with evolving securities regulations and trends affecting corporate governance.


• Mentor junior associates and support their professional development within the corporate practice area.


• Represent clients in discussions with regulatory bodies and assist in regulatory investigations or audits.

Essential Qualifications:

• Juris Doctor (JD) degree from an accredited law school.


• Must be admitted to the bar and in good standing in California or eligible for admission with experience.


• Strong analytical and problem-solving skills with a keen attention to detail.


• Excellent written and verbal communication abilities.


• Ability to manage multiple clients and projects simultaneously while meeting deadlines.


• Demonstrated ability to work collaboratively in a team environment.


• Proficiency in legal research tools and technology.

Desired Experience:

• A minimum of 3 to 7 years of legal experience in securities regulation and corporate governance.


• Experience working at a top-tier law firm or in-house legal department preferred.


• Demonstrated experience in public company representation and familiarity with SEC reporting requirements.

Salary & Benefits:
