A highly respected national law firm is seeking a Corporate Transactional Associate Attorney to join its Wilmington office.

This opportunity is ideal for an attorney interested in working on sophisticated middle-market and upper-middle-market corporate transactions, including mergers and acquisitions, private equity transactions, corporate governance matters, and general business counseling.

The Role

• Mergers & acquisitions transactions
• Private equity acquisitions and investments
• Corporate governance and entity management
• Business formation and organizational matters
• Drafting and negotiating transaction documents
• Due diligence and transaction management
• General corporate counseling for public and private companies
• Direct client interaction and substantive transactional responsibility
• Collaboration with a sophisticated national corporate team

Ideal Background

• Approximately 3–6 years of corporate transactional experience
• Experience with M&A, private equity, corporate finance, or general corporate transactions strongly preferred
• Experience drafting and negotiating purchase agreements, operating agreements, shareholder agreements, and ancillary transaction documents preferred
• Strong drafting, analytical, and communication skills
• Strong business judgment and client-service orientation
• Excellent academic credentials
• Juris Doctor from an ABA-accredited law school required
• Delaware bar admission preferred or ability to become admitted in Delaware

Compensation

Expected compensation ranges from approximately $225,000 – $330,000+ depending on class year, experience, and overall qualifications.
