Our client is seeking an experienced Corporate / Transactions Paralegal to serve as a key member of its legal team. This individual will support the Chief Legal Officer, Associate General Counsel and business stakeholders across a broad range of corporate, transactional, governance, real estate, private investment, and compliance matters in a fast-paced multigenerational family office.
The successful candidate will function as a highly organized project manager within the legal department: coordinating complex transactions, managing large volumes of documentation, tracking multiple workstreams simultaneously, and ensuring matters move efficiently from initiation through closing and post-closing. This role is ideal for a paralegal who thrives in a fast-paced, lean environment, enjoys managing sophisticated transactions end-to-end, and takes pride in being the person who keeps critical projects on track.
Primary Responsibilities
Assist with middle-market mergers and acquisitions, including stock purchase agreements, equity purchase agreements, and related transaction documentation.
Coordinate transaction timelines, due diligence processes, closing checklists, signature pages, closing deliverables and post-closing obligations.
Prepare initial drafts of, review, and organize LLC operating agreements, bylaws, consents, resolutions and other corporate governance documents, subject to attorney review.
Support entity formation, qualification, maintenance and dissolution across a portfolio of operating and holding entities, and maintain minute books, capitalization tables, organizational charts, registered-agent relationships and corporate records.
Prepare, review, track and manage employment agreements, consulting agreements, confidentiality agreements and other corporate contracts using approved forms, subject to attorney review.
Manage contract workflows involving architects, consultants, contractors, vendors, and other project participants, including intake, routing, execution, renewals and key-obligation tracking.
Assist with acquisitions, dispositions, development and construction matters involving real estate assets, including title, survey, escrow coordination, diligence and closing logistics, as well as architect agreements, construction contracts, change orders and consultant agreements.
Maintain transaction databases, closing files, corporate records, and legal department document repositories in an accurate, organized and readily accessible manner, including file organization, naming conventions, version control and retention.
Support Know Your Customer (KYC) and Anti-Money Laundering (AML) processes related to private investment and fund-subscription activities, including beneficial-ownership documentation, and coordinate the collection, organization and maintenance of investor, principal and counterparty documentation.
Assist with fund subscription documents, trust certifications and related closing conditions.
Assist with trust, estate, and wealth-planning related documentation as needed, in coordination with outside advisors.
Track deadlines, deliverables, action items, renewals and reporting obligations across multiple concurrent projects, and proactively flag upcoming requirements.
Non-Negotiable Candidate Requirements
Several years of experience as a corporate, transactional, M&A, or business paralegal in a sophisticated law-firm or in-house environment, with demonstrated experience supporting complex business transactions from diligence through closing and post-closing.
Experience managing large volumes of transaction-related documentation, closing checklists, signature pages and closing materials.
Strong project-management and organizational skills, with the ability to independently manage workstreams, prioritize multiple concurrent matters with minimal supervision, anticipate next steps and escalate issues appropriately.
Exceptional attention to detail, judgment, discretion and follow-through.
Experience preparing, reviewing, and maintaining corporate-governance and entity-management documents.
Ability to work onsite in Las Vegas five days per week, immediately or following relocation.
Excellent written and verbal communication skills, including the ability to communicate effectively with executives and external advisors.
Preferred:
Paralegal certificate or equivalent formal paralegal training.
Experience supporting real estate transactions, development projects, or construction-related contracting.
Experience with KYC, AML, family office, private equity, fund subscriptions, or investment-related legal support.
Familiarity with trust and estate documentation, commercial contracts and high-net-worth family structures.
Proficiency with document-management, entity-management, and data-room platforms.
Additional Qualities and Characteristics
The ideal candidate will be:
A self-starter who takes ownership, proactively identifies issues, and consistently drives projects to completion.
Highly resourceful and comfortable operating in a lean legal department.
Capable of thriving in an entrepreneurial environment where priorities can shift quickly.
Comfortable interacting with executives, investors, and external advisors.
Organized enough to manage numerous active matters without letting details slip through the cracks.
Practical, business-minded, and willing to do whatever is necessary to help the team succeed.
A calm, dependable presence who can effectively manage competing deadlines and high-volume workloads.
Compensation
Competitive Base salary
Annual performance bonus opportunity.
Relocation assistance available for qualified candidates.
