The In-House Counsel serves as the primary legal advisor for Flexware Innovation, providing strategic and practical legal guidance across all aspects of the business. The position partners closely with executive leadership and business stakeholders to support commercial operations, technology and software services, employment matters, compliance initiatives, corporate governance, risk management, dispute resolution, and strategic business transactions. This role operates as the dedicated legal resource for Flexware while leveraging the support and resources of the broader JR Automation Legal Department and Hitachi Americas Legal team.
Provide legal advice and support across all Flexware business operations and strategic initiatives.
Draft, review, and negotiate commercial, technology, software, SaaS, services, vendor, confidentiality, and partnership agreements.
Advise on intellectual property, software licensing, data rights, and technology-related matters.
Support executive leadership on risk management, business strategy, and growth initiatives.
Provide employment law and HR-related guidance as needed.
Advise on compliance, ethics, regulatory, cybersecurity, data privacy, and governance matters.
Manage disputes, claims, litigation support, and outside counsel relationships.
Support acquisitions, integrations, joint ventures, and other strategic transactions.
Collaborate with JR Automation and Hitachi legal teams to leverage enterprise legal resources.
Develop legal training, policies, templates, and best practices.

Juris Doctor (J.D.) degree from an accredited law school.
Active license and good standing in at least one U.S. jurisdiction.
3-5 years of legal experience in a law firm, corporate legal department, or combination thereof preferred.
Experience negotiating complex commercial and technology agreements preferred.
In-house counsel experience preferred.
Strong contract drafting and negotiation skills.
Business-oriented legal judgment and risk assessment.
Excellent communication and executive presence.
Ability to manage competing priorities independently.
Collaboration across cross-functional and global teams.
