The Role: Lateral Associate - Corporate - Restructuring & Special Situations Finance | Washington, D.C.

We are seeking a highly qualified associate to join a globally recognized Finance and Business Restructuring & Reorganization team in Washington, D.C. This position offers the opportunity to work on complex, high-profile financial transactions and restructuring matters for prominent clients across diverse industries.

Practice Expertise and Focus

This opportunity is with a firm distinguished for its leadership in finance and restructuring matters. Highlights include:

  • Liability Management Transactions: Expertise in DIP financings, bankruptcy exit financings, special situations financings, and other restructuring scenarios.
  • High-Profile Representations: Representing hedge funds, CLOs, private equity funds, and financial institutions in Chapter 11 cases and out-of-court restructurings.
  • Global Collaboration: Working alongside the firm's Global Finance and Business Restructuring & Reorganization teams to deliver innovative, client-focused solutions.

In this position, you will:

  • Advise Clients: Represent creditors and borrowers in connection with liability management transactions, including DIP financings and bankruptcy exit financings.
  • Draft and Negotiate: Prepare and negotiate complex financing agreements, including loan agreements, security agreements, and restructuring documentation.
  • Collaborate on Transactions: Partner with multidisciplinary teams to provide comprehensive solutions for high-stakes financial matters.
  • Lead Strategic Work: Handle top-of-the-capital-structure representations, ensuring alignment with client objectives in complex restructuring scenarios.

Ideal Candidate Profile

We are looking for candidates who bring the following qualifications and attributes:

Experience and Expertise

  • Experience Level: Law school graduate from 2016 to 2019, with extensive experience in liability management transactions, DIP financings, and special situations financings.
  • Industry Knowledge: Deep understanding of Chapter 11 cases and out-of-court restructurings.

Educational Credentials

  • Juris Doctor (JD): Degree from a top-tier, accredited law school with excellent academic credentials.
  • Bar Admission: Active membership in good standing or eligibility to waive into the D.C. Bar.

Core Competencies

  • Legal Acumen: Proficient in drafting, negotiating, and managing complex financial transactions.
  • Strategic Thinking: Ability to devise innovative solutions for intricate restructuring and financing challenges.
  • Collaboration and Leadership: Proven capability to lead cross-functional teams and mentor junior associates.
