Legal Counsel - EPC

Overview

Gigantes Group has been retained by a leading nationwide developer, and asset owner-operator of C&I, community, and utility-scale solar and energy storage systems. With a rapidly expanding multi-hundred megawatt operating portfolio backed by significant institutional capital, our client is seeking a Senior Legal Counsel to focus on operational execution, asset management, and supply chain procurement.

In this role, you will serve as the legal backbone for active generating assets and post-close project execution. Reporting to internal executive legal leadership, you will take direct ownership of the legal workstreams that keep operational assets performing at peak commercial levels - drafting and negotiating critical equipment supply agreements, managing long-term O&M contracts, and steering complex risk mitigation strategies across the asset lifecycle.

Key Responsibilities

• Procurement & Supply Chain Lead: Draft, structure, and negotiate major equipment procurement agreements (modules, inverters, BESS units, transformers) and balance of plant (BOP) supply contracts.


• EPC & Operational Contracts: Negotiate, manage, and enforce complex Engineering, Procurement, and Construction (EPC) agreements, Long-Term Service Agreements (LTSAs), and O&M contracts for operating assets.


• Asset Management Legal Support: Act as dedicated legal counsel to internal Asset Management, O&M, and Commercial Operations teams on warranty claims, performance guarantees, contract amendments, and vendor disputes.


• Commercial Risk Mitigation: Drive contract administration best practices, standardizing contract templates and enforcing risk management protocols to maintain project bankability and protect long-term asset value.


• Regulatory & Compliance Management: Monitor ongoing operational compliance across federal, state, and local regulatory frameworks, ensuring alignment with tax equity operating requirements and interconnecting utility obligations.

Requirements

• Education & Credentials: Juris Doctor (JD) from an accredited US law school and an active bar admission in good standing.


• Experience: 5 to 8+ years of legal experience in renewable energy transactions, infrastructure, or corporate law, with a heavy emphasis on commercial, community, or utility-scale solar and BESS assets.


• Core Technical Competencies: Demonstrated track record of negotiating EPC agreements, equipment procurement/supply contracts, O&M agreements, and operational service packages.


• Operational Acumen: Strong understanding of post-financial close project mechanics, warranty enforcement, operational claims, and asset management considerations.


• Soft Skills: Highly commercial, practical, and solution-oriented with the ability to manage external counsel efficiently and deliver clear, actionable legal advice to business leadership.
