Job Description - Merger & Acquisition Integration Director
ESSENTIAL DUTIES & RESPONSIBILTIES
The Merger & Acquisition (M&A) Integration Director will help lead the company's M&A strategy, evaluating potential acquisition targets, and managing the deal process from approval through integration. This role requires a strategic thinker with deep experience in M&A transactions, and a proven ability to drive growth through acquisitions. The Director will work closely with senior leadership to align M&A activities with the company's strategic goals, ensuring successful execution and integration. It requires an individual with a well-rounded skill set in analytics, financial acumen, problem-solving, project management and executive communication. A high-visibility and high-stakes role, it requires an individual who can be both a strategic thought partner with Executive Team, but also dig in the weeds of a target company's data and processes to create actionable insights.
RESPONSIBILITIES
Integration: Work with senior management and functional leaders to develop and implement integration plans within USALCOs Management Operating System (MOS) to standardize future activity. Ensure smooth integration of acquired companies, including alignment of business processes, systems, and cultures.
Strategic Planning: Help develop and execute the company's M&A strategy in alignment with corporate objectives. Identify potential acquisition targets that enhance the company's product portfolio, market presence, and profitability.
Market Analysis: Conduct comprehensive market research to identify trends, opportunities, and. Evaluate potential acquisition targets based on financial performance, strategic fit, and market potential.
Due Diligence: Assist/Lead cross-functional due diligence teams to evaluate financial, operational, legal, and cultural aspects of potential acquisitions. Identify risks and opportunities, and develop strategies to mitigate risks
Pipeline Development: Continuously help build and refine a robust pipeline of potential acquisition targets. Regularly review and update the pipeline to reflect new opportunities and strategic shifts, ensuring the company is well-positioned to act on high-value deals as they arise
Valuation and Negotiation: Help perform financial modeling and valuation analysis to assess the viability of potential deals.
Transaction Management: Oversee all aspects of the M&A Integration process. Ensure that transactions are completed in a timely and cost-effective manner.
Reporting: Prepare and present regular updates on M&A activities for the executive team.
QUALIFICATIONS:
The successful candidate will have 10 plus years of broad M&A experience with at least 5 years at Director level. The successful candidate will have a proven track record of successfully integrated targets with minimal impact to business model.
Specifically, the candidate should have:
Bachelor's degree in Finance, Business, Economics, or a related field
In-depth knowledge of financial modeling, valuation techniques, and due diligence processes
Strong negotiation skills with the ability to navigate complex transactions and achieve favorable outcomes
Excellent Servant leadership and project management abilities
Exceptional communication and presentation skills, with the ability to influence stakeholders at all levels Demonstrate strong business acumen with an understanding of the financial implications of M&A targets
Understand the use of technology as a competitive differentiator, specifically driving its use in development of strategic plans.
Exhibit a strong customer internal orientation with comfort in an organization.
Demonstrate dedication to process safety, worker safety and environmental stewardship.
Have well developed verbal and written communications skills.
Ability to travel.
MBA or advanced degree
Skilled in influencing cultural change and problem resolution
Assessing, Identifying and resolve root causes of problems and inconsistencies.
Previous experience in Chemical manufacturing.
