Compensation

$260,000 – $390,000+

A highly respected AmLaw 200 firm is seeking a Project Finance / Mergers & Acquisitions Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing developers, sponsors, lenders, investors, private equity funds, and corporate clients in sophisticated project finance and M&A transactions across a variety of industries, including energy and infrastructure.

Ideal Background

• 3–6 years of project finance, corporate, and/or mergers & acquisitions experience gained at a sophisticated law firm

• Experience representing developers, sponsors, lenders, borrowers, investors, private equity funds, and corporate clients

• Experience handling project financings, acquisition financings, infrastructure transactions, renewable energy projects, and other complex financing matters

• Experience with mergers, acquisitions, divestitures, joint ventures, strategic investments, and general corporate transactions

• Experience drafting and negotiating purchase agreements, credit agreements, project documents, joint venture agreements, operating agreements, financing documents, and ancillary transaction documents

• Experience conducting legal due diligence, managing transaction closings, and coordinating multidisciplinary deal teams

• Strong drafting, negotiation, analytical, and communication skills

• Ability to independently manage sophisticated transactions while maintaining significant client interaction

• Excellent academic credentials

• J.D. from an ABA-accredited law school required

• New York bar admission required or ability to become admitted
