$260,000 – $420,000+

A leading international law firm is seeking a Public Companies & Governance Associate Attorney to join its Minneapolis office.

This opportunity is ideal for an attorney interested in advising public companies on securities law compliance, SEC reporting, corporate governance, and strategic corporate matters.

Ideal Background

• 3–6 years of corporate transactional experience with a focus on public company representation

• Experience advising public companies on SEC reporting, disclosure obligations, and corporate governance matters

• Experience with Securities Exchange Act of 1934 reporting requirements, Securities Act compliance, and stock exchange listing standards

• Experience drafting and reviewing Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and other SEC filings

• Experience advising boards of directors and management teams on governance, disclosure, securities law, and related corporate matters

• Experience with capital markets transactions, mergers & acquisitions, and other strategic corporate transactions is preferred

• Strong drafting, analytical, negotiation, and communication skills

• Ability to work directly with public company clients and senior business leaders

• Excellent academic credentials

• J.D. from an ABA-accredited law school required

• Minnesota bar admission required or ability to become admitted
