Location: Miami, FL. This is a hybrid opportunity with meaningful flexibility. Attorneys are expected to maintain an active presence in the Miami office, but there is no fixed number of required in-office days.

Note: Candidates must be admitted to the Florida Bar or eligible for admission and have 3+ years of sophisticated transactional experience, including experience structuring, drafting, and negotiating complex real estate joint venture agreements and related transaction documents.

Job Description

• Structure, draft, and negotiate complex real estate joint venture agreements and related transaction documents.
• Represent institutional investors, private equity funds, developers, family offices, sponsors, and operating partners.
• Advise clients on sophisticated partnership, LLC, investment, and governance structures.
• Work on joint ventures supporting major multifamily, commercial, condominium, retail, office, hospitality, mixed-use, and industrial projects.
• Analyze deal structures, economics, governance rights, capital obligations, exit provisions, and other key joint venture terms.
• Collaborate with real estate, corporate, tax, finance, and other attorneys on multidisciplinary transactions.
• Manage transactions from initial structuring and negotiation through documentation and closing.
• Provide strategic, commercially focused counsel aligned with each client's business objectives and long-term investment goals.

Qualifications

• Florida Bar admission or eligibility for admission required.
• 3+ years of relevant sophisticated transactional experience.
• Experience structuring, drafting, and negotiating complex real estate joint venture agreements required.
• Strong drafting, negotiation, analytical, and communication skills.
• Strong academic credentials.
• Real estate joint venture or partnership/LLC structuring experience strongly preferred.
• Sophisticated law firm experience preferred.
