Position Summary

Cogir is seeking an experienced, highly organized, and business-oriented Senior Corporate & Transactions Paralegal to support the Legal Department across corporate governance, complex business transactions, commercial contracting, litigation support, regulatory matters, and legal operations.

This is not a traditional administrative paralegal role. We are seeking a seasoned legal professional who can manage complex legal projects, organize large volumes of information, coordinate across multiple stakeholders, and serve as a trusted partner to attorneys, executives, and operational leaders.

The successful candidate will support a growing national senior living organization whose legal and business structures frequently involve layered ownership arrangements, affiliated entities, joint ventures, management companies, financing parties, and complex governance relationships. Transactions often involve numerous entities, multiple ownership tiers, sophisticated financing structures, and interconnected legal documentation. The ideal candidate must be comfortable navigating complexity, understanding relationships among affiliated entities, and maintaining exceptional accuracy in a fast-paced environment.

Key Responsibilities

Corporate Transactions & Strategic Projects

• Support attorneys on acquisitions, joint ventures, financings, management transitions, restructurings, and other strategic transactions.
• Review, organize, summarize, and track transaction documents, governance records, contracts, licenses, litigation matters, and other transaction-related information.
• Assist in tracking ownership structures, affiliated entities, governance requirements, post-closing obligations, and other legal deliverables associated with complex transactions.
• Support legal integration activities following acquisitions, transitions, and organizational restructurings.

Corporate Governance & Entity Administration

• Maintain governance records, organizational documents, dashboards, and reporting related to U.S. affiliated entities.
• Track annual reports, registrations, licenses, permits, governance obligations, and renewal deadlines.
• Support entity formations, dissolutions, reorganizations, officer changes, and related corporate governance activities.
• Maintain accurate ownership, governance, and organizational structure records.

Contracts & Legal Operations

• Conduct initial reviews of contracts, amendments, NDAs, vendor agreements, and other routine legal documents using approved playbooks, templates, and risk guidelines.
• Identify deviations from approved standards and elevate legal or business risks as appropriate.
• Administer contract tracking, storage, reporting, obligation management, and related legal operations processes.
• Support the continuous improvement of templates, workflows, and Legal Department processes.

Litigation, Claims & Regulatory Matters

• Coordinate litigation holds, document preservation efforts, and information collection activities.
• Assist with subpoenas, discovery requests, investigations, document productions, and regulatory inquiries.
• Coordinate records requests with outside counsel, insurers, regulators, internal stakeholders, and community teams.
• Maintain litigation, claims, and regulatory matter trackers, dashboards, and reporting.

Compliance & Department Operations

• Support licensing, regulatory filings, audits, and related compliance initiatives.
• Monitor filing deadlines, renewal requirements, and reporting obligations.
• Maintain organized systems for legal records, policies, procedures, and critical business documentation.
• Coordinate special projects and identify opportunities to improve efficiency, standardization, and operational effectiveness.

Qualifications

Required

• Paralegal certificate, bachelor's degree, or equivalent combination of education and experience.
• 10+ years of paralegal experience supporting corporate legal departments, law firms, or similarly complex organizations.
• Demonstrated experience supporting mergers and acquisitions, joint ventures, financings, restructurings, management transitions, or other sophisticated corporate transactions.
• Experience working with complex ownership structures involving multiple affiliated entities, layered governance arrangements, or multi-party transactions.
• Strong knowledge of corporate governance, contract administration, and legal documentation.
• Experience supporting litigation, investigations, subpoenas, document collection efforts, or regulatory matters.
• Ability to review contracts and identify deviations from established playbooks, templates, and legal standards.
• Exceptional organizational, analytical, project management, and document management skills.
• Strong written and verbal communication skills.
• Ability to manage sensitive and confidential information with professionalism and discretion.

Preferred

• Experience supporting senior living, healthcare, real estate, hospitality, or other multi-site operating businesses.
• Experience supporting transactions involving joint ventures, management companies, operating entities, real estate holdings, financing structures, and affiliated organizations.
• Familiarity with licensing, regulatory, and operational compliance requirements.
• Experience with contract lifecycle management, legal operations technology, or matter management platforms.
• Notary Public certification or ability to obtain certification.
