Location
This is a hybrid opportunity with a preference for candidates based in Philadelphia or Conshohocken, Pennsylvania. We offer flexibility while maintaining the collaboration and client connection that comes from working together in person. Other location arrangements may be considered case-by-case for exceptional candidates.
Note
Candidates should have 4+ years of directly relevant debt finance, corporate finance, commercial lending, or similar transactional experience. Pennsylvania Bar admission or the ability to waive into Pennsylvania is strongly preferred, with other bar admissions considered case-by-case.

Job Description
- Represent borrowers and lenders in sophisticated debt financing transactions and credit facilities.
- Structure and negotiate asset-based lending facilities, term loans, revolving credit facilities, acquisition financings, warehouse facilities, and other financing arrangements.
- Draft and negotiate loan agreements, security agreements, guarantees, intercreditor agreements, and related financing documents.
- Advise clients on financing structures supporting acquisitions, business growth, expansion, working capital, and other strategic objectives.
- Manage transactions independently from term sheet through closing while maintaining strong communication with clients and counterparties.
- Coordinate due diligence, closing deliverables, transaction execution, and post-closing requirements.
- Work directly with banks, private credit lenders, private equity sponsors, venture capital firms, investors, and corporate borrowers.
- Counsel clients on financing structures, risk allocation, negotiation strategy, and transaction management.
- Supervise, mentor, and develop junior corporate attorneys.
- Collaborate with attorneys across corporate, M&A, tax, real estate, bankruptcy, and commercial practices.
Qualifications
- Juris Doctor from an accredited law school.
- Pennsylvania Bar admission or ability to waive into Pennsylvania; New Jersey and/or New York admission may be considered case-by-case.
- 4+ years of debt finance, corporate finance, commercial lending, or closely related transactional experience.
- Experience representing borrowers and/or lenders in secured and unsecured financing transactions.
- Strong drafting and negotiation experience involving complex financing documents.
- Ability to independently manage sophisticated transactions and client relationships.
- Strong analytical, organizational, communication, and client-service skills.
- Large law firm or sophisticated boutique transactional experience preferred.
- Interest in helping build and grow a developing corporate finance practice.
