Job Description - Senior Corporate Secretarial Specialist

Senior Corporate Secretarial Specialist Location Hybrid work in Toronto, ON :

Senior Corporate Secretarial Specialist Description: Permanent Full Time Corporate Secretary Specialist, Corporate Secretary's Office The Corporate Secretary's Office provides valuable corporate secretarial and governance support to Canada Life and Great-West Lifeco. Reporting to Senior Counsel and Associate Corporate Secretary, the Corporate Secretary Specialist, provides corporate secretarial and governance support to the companies and their subsidiaries, including preparing director and shareholder resolutions, preparing, and filing federal and provincial corporate documents, and maintaining minute books and our electronic corporate records database. Working with the Corporate Secretary and the Associate Corporate Secretary, the incumbent is responsible for supporting group companies with corporate governance and regulatory matters. What you will do

  • Prepare annual and special director and shareholder resolutions, share and unit certificates and other corporate documents for group companies, working with business units to ensure that information is communicated and captured accurately.
  • Maintain corporate records for group companies, in both hard copy and electronic forms, and ensure that required approvals are obtained for various matters, including transactions, and appointments.
  • Act as administrator, and as subject matter expert, in connection with our electronic corporate records database.
  • Prepare and file regulatory filings required under corporate, limited partnership and business name registration legislation, including with respect to annual returns, business name registrations, incorporations, extra-provisional registrations, amalgamations, and dissolutions.
  • Collaborate with business units and internal/external legal counsel on governance, regulatory and transactional matters.
  • Provide corporate secretarial assistance and support for group companies.
  • Assist the Corporate Secretary's Office with corporate governance and regulatory matters.
  • Support a diverse range of Corporate Secretary's Office corporate and organizational initiatives and promote continuous improvement and execution of corporate governance best practices.
  • Monitor relevant legal and regulatory developments.
  • As required, serve as Assistant Secretary or authorized individual for group companies
What you will bring
  • 3+ years relevant work experience at a law firm or working with in-house counsel, preferably in a corporate secretarial role or paralegal position.
  • Familiarity with corporate and securities law and practice is an asset.
  • A solid understanding of, and experience with, corporate secretarial and corporate governance practices and corporate filing requirements.
  • Demonstrated knowledge to deal with all levels of a complex corporate structure.
  • Excellent oral and written communication skills.
  • Highly focused with strong attention to detail.
  • Strong organizational and time management skills.
  • Proficient in Microsoft Office suite (Outlook, Word, PowerPoint, Excel, Microsoft Teams) and entity management applications (e.g. GEMS).
  • Proficiency in internet tools, specifically with respect to corporate filings, searches, etc.
  • Strong analytical and interpretive skills.
  • Initiative, confidence, and good judgment to be able to work independently with minimal direction and to respond effectively to issues that arise in the absence of management.
  • Good working knowledge of legal and regulatory environments across Canada.
  • Ability to deal with highly sensitive and confidential information as part of daily duties.
  • Self-motivated with the ability to work well independently and as part of a team.
The base salary for this position is between $51,400- $95,200 annually. This represents base salary only and does not represent other variable compensation components of our total compensation ( i.e. annual bonus, commission etc).
