Role Purpose:

The role of a Board Director for Intelife is to contribute to the deliberations of the Board in the provision of governance, compliance, risk management, and financial sustainability with regards to Intelife Group services and associated businesses.

 

Board Responsibilities

The Board is responsible for the stewardship and future well-being of Intelife. The Board has the responsibility for leadership and strategic governance to enable Intelife to achieve the purposes for which it exists through:

  • establishing the organisation’s purpose, values, goals and objectives;
  • committing to the values of Intelife;
  • identifying and monitoring the management of corporate risks;
  • establishing, monitoring and reviewing the strategic direction of Intelife.
  • monitoring Intelife’s performance against policies and other criteria set by the Board;
  • reviewing the financial accounts and performance of the organisation and approval of the annual budget;
  • ensuring there are adequate resources to realise Intelife’s purpose, values, goals and objectives;
  • ensuring the maintenance of Intelife’s position as a NFP entity and registered charity with deductible gift recipient status;
  • recruiting, supporting and assessing the Chief Executive Officer (CEO);
  • determining the terms of employment and remuneration of the CEO and Executive Team;
  • support the Executive Team when requested at events, training and selected functions;
  • ensuring Intelife’s compliance with applicable laws and regulations, including its ability to meet its debts as they fall due;
  • ensuring there are mechanisms for consultation with key stakeholders, and continuing accountability to them;
  • be an advocate for Intelife in the care and disability sector and community at large.

Time Commitment

  • Attendance at (6) Board meetings, held every TWO (2) months (approximately 2.5 hrs), plus preparatory reading.
  • Membership and attendance of at least one subcommittee, which meets once every two months (off month to Board) for 1-2 hours.
  • Attendance at annual Strategic Planning Offsite - generally held on a Friday & Saturday.

Specific Experience, Skills & Knowledge Sought

  • Non-executive director or management level experience within government, public, private or community agencies
  • Strong strategic, governance and financial literacy.
  • A sound understanding of Governance and Risk Management principles.
  • Degree (or higher) in Law and experience in a legal profession will be highly regarded.
  • Degree (or higher) in Finance/Commerce will be highly regarded.
  • Completion of or working towards completion of the Australian Institute of Company Directors (AICD) course.
  • Previous experience as a CEO in a medium to large people-based business will be highly regarded. 
  • Experience in community engagement and connection, with grants and fundraising experience will be highly regarded.

NOTE 1: You must have a Director Identification Number (or be willing to obtain one) to join the Board and you must become a member of Intelife.

NOTE 2: Intelife Board Director’s do not receive any remuneration other than reimbursement of reasonable and pre-approved expenses incurred in relation to their role as a Non-Executive Director.
