Job Description - Company Secretary - Senior Manager - Investment Management - Join a Market Leader

JS Careers is currently assisting an exciting investment management firm to source a newly created assistant company secretarial position at the Senior Manager level. This role will assist in the preparation of board and regulatory required materials, management of legal and company secretarial materials, initiation of internal projects and input to strategic projects and other company secretarial related duties.

OPEN TO BRISBANE, MELBOURNE, CANBERRA OR SYDNEY

Duties will entail:

  • Assisting the company secretary in meeting all regulatory requirements;
  • Assisting the Company Secretary with Board and Committee meetings, agendas and preparing minutes of meetings;
  • Assist in the preparation of Board papers and policies;
  • Work to enshrine best practice in corporate governance;
  • Development and management of Board Committees;
  • Development and maintenance of policies and procedures 
  • Development and maintenance of company registers;
  • Preparation of Board summaries of potential decisions required;
  • Preparing submissions to the Board and relevant committees regarding legal and regulatory developments, legal risks, compliance-related matters and industry developments.

Suitable candidates must possess:

  • Preferred tertiary qualification in law (not essential);
  • Governance or company secretarial training and/or qualifications;
  • Company secretarial/board reporting systems experience;
  • Ability to act with discretion and treat confidential information appropriately;
  • Ability to independently initiate and manage projects;
  • Excellent customer service orientation (particularly internal customers);
  • Sound time management and organisational skills with an ability to prioritise and handle several different tasks at the same time;
  • Able to represent the Company in a professional manner;
  • Attention to detail;
  • Ability to work without supervision and demonstrate initiative.
