About the role
The Governance Officer supports the Company Secretariat Team. This role will perform a variety of tasks, duties and responsibilities within the Fund’s specialist governance division, including providing secretariat and governance support to Board and Management Committees and assisting in the running of the Fund’s Governance Framework/s and policies.
  
The role will deal with highly confidential information and a variety of senior stakeholders throughout the organisation.
  
The incumbent is expected to have a background in superannuation fund and/or corporate governance and must have the capability and experience to manage pressure, tight timelines, attention to detail and competing stakeholder priorities.
  
The role will have broadly (but not limited to) the following responsibilities:
  
  • Provision of full suite secretariat and governance services (including though not limited to action registers, minutes, calendars, papers, attendance and quorum checks, charter reviews, meeting conduct, checklists, Chair liaison, upholding Cbus governance practices etc) to Board, Committees , Executive Committees and Shareholders.
  • Assist in the review of Governance policies to ensure they are meeting regulatory/legislative requirements and Industry best practice standards.
  • Assist in the administration of the Fund’s Fit and Proper program including appointments, annual checks and skill matrices..
  • Assist in the administration of the Fund’s Policy Management Framework including registers, the timely completion of all material policy reviews, and the full administration of policies, manuals and guidelines in both the intranet and Archer systems.
  • Become the Governance expert user for the Fund’s automated GRC platform (Archer) – training will be provided.
  • Become the Governance expert user for the Fund’s board and committee reporting portal (Diligent)-training will be provided.
  • Assist with annual and triennial Board, Committee and Director performance reviews.
  • Contribute from a governance perspective to the Annual Report, AIST Governance Code, tender and merger processes as well as rating agency and award assessments.
  • Assist on major projects or associated tasks as required.
Key Selection Criteria
  • Tertiary qualifications in a business, legal or related field.
  • Superannuation Governance or Corporate Governance experience.
  • Effective time management expertise and the ability to prioritise over a range of tasks and stakeholders.
  • Well-developed interpersonal skills and ability to liaise across the Fund and its strategic partners at all levels.
  • Understanding of confidentiality and how to handle a range of confidential information.
