The Team Our Transaction Advisory Group (TAG) at A&M has grown rapidly, along with the rest of the organisation, since entering the Australian market in late 2022. They provide high-quality financial due diligence and transaction support services to private equity, infrastructure, and corporate clients. TAG professionals-many of whom are former Big Four advisors-help clients navigate buy-side and sell-side transactions through various approaches.
How You Will Contribute As part of our ongoing expansion, we're building a dedicated Sale and Purchase Agreement (SPA) practice within TAG.
This is an entrepreneurial role for a driven Associate Director or Director, who is excited by the prospect of shaping and growing a new business. You'll work closely with senior leaders and play a pivotal part in developing our SPA offering, delivering high-impact advice to your clients. Your responsibilities will include -
- Lead and manage SPA engagements, including review, negotiation, and execution of Sale and Purchase Agreements in M&A transactions.
- Advise clients on pricing mechanisms (completion accounts, locked box, earn-outs) and purchase price adjustments.
- Identify and resolve SPA-related disputes, including post-transaction issues and warranty claims.
- Collaborate with due diligence, valuation, and tax teams to deliver integrated transaction solutions.
- Act as the primary point of contact for clients, legal advisors, and counterparties throughout the SPA process.
- Contributing to the future growth and culture of the SPA practice.
- Support business development initiatives and help position A&M as a market leader in SPA advisory.
Qualifications - Significant experience in SPA advisory and transaction services/ M&A, ideally gained in a Big 4 or leading advisory environment.
- Deep technical knowledge of SPA structures, pricing mechanisms, and dispute resolution.
- Entrepreneurial mindset, with a passion for building and growing new service lines.
- Strong financial analysis and project management skills.
- Excellent communication and stakeholder management abilities.
