Position Summary

The Transaction Support Group (“TSG”) team at Actis plays an essential role in the coordination, execution, implementation and management of transactions throughout the life of a fund. This function will sit both in the Energy and Infrastructure asset class and the wider TSG team which comprises of three core team members.  The objective of this role is to introduce efficiency to the entire investment process by supporting deal teams in navigating legal, compliance, tax and regulatory requirements during the origination, execution, investment management and exit stages. This position becomes a key ‘enabler’ and main point of contact between deal teams and other functional teams across the Actis platforms (legal, tax, compliance, SPV governance, Funds services, finance functions), as well as external advisors where applicable.

Responsibilities 

• You will be a critical part of the deal management function. This will require involvement on multiple levels including instructing legal advisors, assisting on internal approval processes, ensuring the set-up of our investment vehicles (SPVs), flow of funds procedures, execution of documents and director briefings. A TSG member must be able to grasp all facets of a deal and effectively communicate, coordinate and manage all the processes linked to a deal both internally and externally.


• Management of legal processes including non-disclosure agreements, term sheets, engagement agreements, briefing of external counsel and regular interaction with the Actis Legal team as well as Actis’s preferred legal advisors. Relationship building and maintenance with internal and external stakeholders is a key requirement for the role.


• Assisting in the coordination of compliance-related matters such as customer due diligence and other regulatory requirements which are implemented by the Actis Compliance team and supported by our preferred legal advisors.


• Working closely with our SPV Governance team and our service providers who manage our SPVs in various jurisdictions including Mauritius, Luxembourg and Singapore to ensure transactions are concluded in line with TSG’s best practice.


• This is an important deal management function and you will be most effective immersing yourself in your asset class, your deal teams and understanding the intricacies and moving parts of each transaction including a high-level understanding (or ability to learn fast) of legal, tax, commercial and governance related matters.


• Presenting on the status of transactions at quarterly management meetings of the Energy and Infrastructure teams.

Qualifications 

• A tertiary qualification which includes functioning legal knowledge and experience.


• Candidates with a legal work experience either as part of an in house legal team or group company secretary office in a medium to large enterprise will be preferred.


• Exposure to an international working environment, preferably gained in an inclusive and collaborative multinational company is advantageous but not required.


• Project management experience in commercial transactions (small, medium or large) would be advantageous.


• Can demonstrate the ability and track record to learn and grasp new processes.


• Keen and quick learner with strong attention to detail.


• Track record in collaboration with external service providers and internal business units such as finance and compliance.


• Has a passion to learn and develop a career through collaboration and pushing boundaries in personal development


• Independent self-starter who naturally takes initiative, can see the big picture while still maintaining focus on priorities and details. Roll-up-one’s sleeves attitude important.


• Strong written and spoken English. Excellent communication skills are essential.
