Required Skills & Experience:
- LLB, or equivalent law degree.
- Experience: 7-10 years of legal experience in fund administration, financial services, or a similar regulated industry. Experience in managing legal teams or functions is strongly preferred.
- Legal Expertise: In-depth knowledge of global regulatory frameworks, legal compliance standards, data protection laws (GDPR, CCPA, etc.), and risk management principles.

As a Manager - Compliance, Legal & Governance (Legal) you will report to the Director, General Legal Counsel.
This role is a contract management role focused on production and forms a critical connection between business, clients and their accompanying fund structures. The legal managers is responsible for the accurate, efficient and commercially aligned drafting, structuring and execution of client and vendor agreements across multiple jurisdictions but often with a strong Brazilian investor slant.
The Manager is expected to operate as a contracts engine within the organization, translating business, operational and regulatory requirements into clear, enforceable and appropriately risk-balanced legal templates, with initial supervision.
Based in Rio de Janeiro, Brazil, the role also provides jurisdictional legal support across corporate, HR, finance and operational functions, ensuring that local and cross-border considerations are appropriately reflected in the company’s group legal and contractual framework.

Your Daily Tasks
The following are the tasks linked to the Core Responsibilities that will be expected as part of this role:
1. Contract Drafting & Execution (Primary Mandate)
- Independently draft, review and finalize a high volume of client agreements, administration agreements, NDAs and commercial contracts.
- Translate inputs from business development teams and Microsoft Dynamics into structured, coherent agreements with fee schedules, referencing:
- legal entities and party descriptions
- recitals and background sections
- defined terms and cross-referencing
- jurisdiction and governing law provisions
- Ensure agreements are internally consistent, commercially aligned and execution-ready, requiring minimal rework.
- Take ownership of the full contract lifecycle, from initial instruction through to execution.
- Maintain and apply standard templates, playbooks and clause libraries, while adapting them appropriately to specific transactions.
2. Multi-Jurisdictional Structuring & Legal Coherence
- Ensure correct entity mapping and contracting structures across jurisdictions (Cayman, BVI, Bahamas, Brazil, US and others as applicable).
- Identify and resolve inconsistencies in party roles, service scopes and legal relationships before documents are issued.
- Align contractual frameworks with the company’s operating model and regulatory positioning (non-regulated vs regulated services, delegation structures, etc.).
- Populating service fee schedules from Business Development proposal into client agreements.
3. Business & Operational Legal Support (Brazil Focus)
- Provide day-to-day legal support to finance, HR and operations in Brazil, including:
- corporate and governance matters
- employment-related documentation and structuring
- vendor and service provider arrangements
- Support internal stakeholders on jurisdiction-specific considerations, including indirect tax sensitivities and local legal requirements.
- Act as a local legal bridge between Brazil operations and global legal leadership.
4. Legal Operations & Process Efficiency
- Drive consistency and efficiency in contracting through:
- template refinement
- clause standardization
- playbook development
- Reduce dependency on external counsel by internalising repeatable legal workstreams.
- Contribute to building a scalable legal function capable of supporting business growth.
5. Business Development and Stakeholder Engagement
- Engage directly with business development, clients and internal teams to clarify instructions and close gaps quickly.
- Operate with a delivery mindset, ensuring that legal work enables — rather than delays — commercial outcomes.
- Manage competing priorities and deliver under tight timelines without compromising quality.
