How You’ll Help Us Better Serve Our Clients

Clark Wilson is seeking an experienced mid-level Associate to join our Private Company Transactions group. The ideal candidate will have 3-6 years of experience in private company M&A and corporate commercial practice. Our Private Company Transactions (PCT) practice provides advice on mergers, acquisitions, and other significant corporate transactions. We work with private companies across various industries, with a particularly strong track record in mid-market M&A transactions ranging from $10 million to $200 million. We also provide general business law support as external counsel to local, national, and international businesses.

This is a full-time, permanent position and is ideal for anyone wanting to join a firm that takes pride in having a collegial working atmosphere, where growth and professional development are supported. 

What You’ll Be Doing

• Overseeing the M&A due diligence process;


• Experience in running transactions from start to finish, including negotiating LOIs and NDAs;


• Drafting and negotiating Asset Purchase Agreements and Share Purchase Agreements;


• Preparation of ancillary documentation;


• Clear understanding of undertakings and dealing with cash and trust accounts; and


• Experience in leasing, commercial real estate, IP, bank financing and a general understanding of employment law would be an asset.

• The ability to exercise sound judgment, discretion, and, confidentiality, and to adapt to changing demands.
