Job Description - Governance & Board Coordination Lead

This fractional role provides governance and coordination support to the CEO, Board of Directors, Executive and Board Committees. The position ensures effective meeting management, accurate documentation, and strong follow-through on Board priorities, while maintaining compliance with bylaws and governance best practices.



Key Responsibilities



Governance & Meeting Coordination



  • Plan and manage agendas and schedules for Board, Committee, and Executive meetings

  • Coordinate meeting logistics and materials

  • Ensure compliance with bylaws and governance requirements


Minutes & Documentation



  • Record, draft, and finalize Board and Committee meeting minutes

  • Maintain official records and ensure timely distribution of materials

  • Ensure Board members have access to current documents


Tracking & Reporting



  • Track action items, decisions, and deliverables between meetings

  • Provide status updates to the CEO on progress and outstanding items


Governance Materials



  • Support preparation and maintenance of governance documents, including Terms of Reference, work plans, and policies

  • Assist in drafting and finalizing governance processes and materials



Qualifications



  • Previous experience supporting Boards and/or senior leadership (non-profit experience an asset) is required

  • Strong organizational, coordination, and writing skills

  • High attention to detail and discretion

  • Knowledge of governance practices and bylaw compliance



Technical Skills Required: Microsoft Teams, SharePoint, Excel



Working Arrangement



  • 2.5 days per week (flexible)

  • 1 day per week in office

  • Attendance at all Board meetings (approx. 6/year, in person)



Ideal Candidate is proactive, detail-oriented, and highly professional, with the ability to work independently and manage sensitive information while supporting senior leadership and Board members.
