Role (Overview of the Position)

The Corporate Law Clerk plays a critical role in ensuring smooth execution of a wide range of legal tasks, with a solid understanding of corporate law and the ability to manage multiple responsibilities efficiently. Key areas of focus include facilitating corporate transactions, such as reorganizations and share or asset purchase agreements; maintaining and updating corporate records, including minute books, bylaws, and resolutions; and ensuring ongoing corporate compliance with legal and regulatory requirements.

Responsibilities (Tasks Associated with the Role)

• Assist with corporate reorganizations, share and asset purchase transactions, including preparing/maintaining closing checklists, reviewing/drafting closing documents including resolutions, officers' certificates and other supporting documents, preparing closing books and drafting reporting letters.


• Draft and review legal documents related to incorporations, amendments, amalgamations, dissolutions, revivals and other corporate matters.


• Maintain and update corporate minute books, including bylaws, resolutions, and registers.


• Conduct online corporate, NUANS and tradename searches.


• Manage ongoing corporate maintenance of all corporate clients, communicating with clients and third parties to gather information and provide updates.


• Researching and interpreting legal and technical procedures, statutes, and regulations.


• Providing administrative support to lawyers, including organizing files, preparing signature packages, and managing correspondence.


• Analyzing corporate charter documents and corporate records to ensure compliance with governing statutes.


• Registering and maintaining extra-provincial registrations

Qualifications/Skills & Experience

• A diploma in a related Legal Administration and/or Law Clerk program is preferred.


• A minimum of 3 years’ experience in a corporate clerk role, within a legal environment.


• Have experience in or knowledge of the following programs: Microsoft Office, Ecore, Treefort, Clio, Corporations Canada, Appara, or a similar corporate software, and Ministry/Government search and registration platforms.


• Excellent communication skills (verbal and written).


• Detail oriented with strong multi-tasking and problem-solving skills.


• Ability to take initiative and work under pressure with minimal supervision.

Existing Vacancy: Internal and External 

Compensation: This position offers a starting salary range of $45,000 to $60,000 per year. Final compensation will be determined based on the successful candidate’s education, relevant experience, and skills.
