How You’ll Help Us Better Serve Our Clients



Clark Wilson LLP is seeking a Banking Paralegal to join our Banking & Financial Services practice group. This is a full-time, permanent position and is ideal for someone who thrives in a collaborative, professional environment where initiative, attention to detail, and client service are highly valued.



Working closely with lawyers and legal assistants, the Banking Paralegal plays a key role in supporting secured lending transactions and related banking matters. This position is well suited to an organized and proactive professional who enjoys managing complex files, coordinating multiple stakeholders, and contributing to the successful completion of transactions.



What You'll Be Doing



Banking & Financial Services Support




  • Assist lawyers with commercial lending and secured financing transactions from opening to closing;

  • Prepare and review loan and security documentation, including general security agreements, guarantees, postponement agreements, assignments, and related transaction documents;

  • Conduct and analyze due diligence searches, including PPSA, corporate, bankruptcy, litigation, and other relevant searches;

  • Register, amend, renew, and discharge security interests through applicable registries;

  • Prepare financing statements, security registrations, and supporting transaction documentation;

  • Coordinate and track transaction conditions, closing requirements, and post-closing matters;

  • Prepare closing agendas, transaction checklists, and closing documentation packages;

  • Organize and maintain electronic and physical transaction records;

  • Assist with the preparation and review of corporate records and supporting documentation related to financing transactions;

  • Liaise with clients, lenders, borrowers, legal counsel, government agencies, and third-party service providers regarding transaction requirements and timelines;

  • Support lawyers with file management, reporting obligations, and ongoing client service needs;

  • Monitor key deadlines and ensure timely completion of transaction-related deliverables;

  • Assist with billing, file administration, and other administrative responsibilities as required.



Transaction Management & Coordination




  • Manage multiple financing files simultaneously while maintaining accuracy and attention to detail;

  • Coordinate transaction closings and ensure all required documents, registrations, and conditions have been satisfied;

  • Identify and escalate issues, deficiencies, or risks requiring lawyer review;

  • Assist with the implementation and maintenance of precedents, templates, and process improvements;

  • Support practice group initiatives and contribute to efficient workflow management;

  • Collaborate with legal assistants, lawyers, and other firm departments to ensure seamless service delivery.



How You'll Be a Great Fit for This Role




  • Completion of a recognized Paralegal program or equivalent combination of education and experience;

  • Minimum of 3 years of experience working as a paralegal in banking, secured lending, commercial transactions, or a related practice area;

  • Strong understanding of secured lending transactions, PPSA registrations, and corporate due diligence processes;

  • Experience preparing and reviewing transaction documentation and closing materials;

  • Familiarity with BC corporate registries, PPSA systems, and related government filing platforms;

  • Exceptional organizational skills with the ability to manage competing priorities and deadlines;

  • Strong attention to detail and commitment to producing accurate work;

  • Excellent verbal and written communication skills;

  • Ability to work independently while also contributing effectively as part of a team;

  • Strong client service orientation and professional judgment;

  • Proficiency with Microsoft Office applications and legal document management systems.

The expected salary range for this role is likely to be between $85,000 and $120,000, with the final salary determined based on the successful candidate’s experience, qualifications, skills, and internal equity.
