Job Description - Legal Counsel

 

Position: Legal Cousel

Primary Location: Toronto, ON (Hybrid)

Reports to: Senior Legal Counsel

 

Compensation: $150,000 CDN - $160,000 CDN Bonus + Benefits (salaried, exempt)

Salary ranges are determined by role, level, and location. The range displayed on each job posting reflects the minimum and maximum target for new hire salaries for the position. Within the range, individual pay is determined by work location and additional factors, including job related skills, experience, and relevant education or training. More specific salary range for your preferred location can be discussed during the hiring process. Please note that the compensation details listed in the US roles postings reflect the base salary only, and do not include bonus, benefits, pension contributions or additional incentives

About this Role and About You

 

The Legal Counsel provides legal advice and guidance to the company on a variety of legal matters, including contract review, negotiation and interpretation and oversight of outside counsel, with the goal of identifying and quantifying risks based on an understanding of the business and mitigating such risks where appropriate, ensuring compliance with laws and corporate policies and reducing costs related to external legal services. The Legal Counsel is an integral part of a collaborative and supportive Legal Team.

 

Qualifications

  • A law degree from an accredited law school
  • Called to Bar in Canadian province or US state
  • 2 - 4 years of experience practicing law at a top tier firm; in-house experience considered an asset
  • Strong knowledge of corporate/commercial law is essential; knowledge or experience in any of the following is considered an asset: working in a manufacturing environment, securities law, environmental law, construction law, real property law, anti-trust/competition law or litigation
  • Strong interpersonal skills and ability to build collaborative business relationships
  • Excellent written and verbal communication skills, including contract drafting
  • Ability to think and act independently with a strong attentiveness to detail
  • Ability to quickly grasp legal and business issues and provide tailored legal advice and counsel in plain language
  • Must be able to travel within North America up to 10-15% of time

Responsibilities

 

  • Provide day-to-day legal advice and support to business units, including commercial negotiations, dispute resolution and legal and regulatory compliance
  • Oversee and manage litigation matters and manage outside counsel
  • Lead and/or assist in implementation of and compliance with corporate policies, procedures and programs to mitigate legal compliance risk and promote safety culture
  • Lead and/or assist in the development, drafting and implementation of standardized contracts, procedures and policies
  • Provide assistance and advice respecting public disclosure and public company requirements and review and drafting of public disclosure documents
  • Assist on M&A and capital market transactions, from coordinating outside counsel to negotiating smaller transactions
  • Other related duties as assigned.
