As an experienced and dynamic Legal Counsel, you provide legal guidance on a variety of aspects related to our business. You work closely with senior management, external stakeholders, and team members in the finance, M&A, compliance and business operations teams across various geographies, directly reporting to the Chief Development Officer.
You will have a broad scope of responsibilities, including supporting Sanoptis on a wide variety of projects of strategic importance, and plenty of opportunities to take ownership.

Operational Legal Advice:
Provide day-to-day legal advice to the management team of clinics on a wide range of issues, including labor law, medical law, patient rights, and regulatory questions related to the laws governing statutory and private health insurance physicians (“Zulassungsrecht”).
Work closely with the M&A team and other departments, including finance, HR, and operations, to provide integrated legal support during acquisitions.
Manage and consult with international and local law firms on various legal matters, ensuring superior service delivery on a timely and cost-effective basis.
M&A:
Support the M&A team and manage the legal aspects of M&A transactions, including due diligence, contract discussions, and post-merger integration.
Draft, review, and negotiate acquisition agreements together with members of the M&A team.
Liaise with external legal advisors to ensure compliance with relevant legal and regulatory requirements.
Corporate Housekeeping, Support on Risk Management and Compliance:
Advice on and steer corporate law activities ensuring compliance with corporate governance requirements and corporate housekeeping for group companies (including drafting agendas, resolutionsand minutes).
Support the Compliance team and risk management activities of the group.

Master’sdegree in law (additional educationabroad and/or an advancedmaster’s in Corporate/Business Law is a plus) or fully qualifiedlawyerwith a degree in law and/oradmissiontothe bar in Germany, Switzerland, oranother relevant jurisdiction.
3 to 5 yearsof professional experienceas a legal counsel, preferablywithin a corporateenvironmentorlaw firm.
Experience in handling M&A transactionsfromstartto finish, including due diligence, contractnegotiation, and post-transaction integration.
Prior experience in thehealthcaresectororwithhealthcare-related legal issuesis a plus.
Ability toanalyze legal risks and providestrategicadvicetomitigatethemeffectively.
Ability toexplaincomplexconceptsclearly and succinctlytothosewithout a legal background.
Proactive and pragmaticapproachtoidentifyingissues and developingsolutions in a fast-pacedenvironmentwith a growth-focused, private equity-backedbusinessmodel.
Fluency in German and English, bothwritten and spoken, is essential.
The position is based in Zug (Switzerland) or Berlin (Germany), with frequent travel required to various clinics and practices within the Sanoptis network.
