Job Description - Associate, ECM, Capital Markets

Linklaters is a leading global law firm, advising the world's top companies, financial institutions, and governments on their most complex and innovative transactions. With a strong presence in key financial centres, we provide seamless advice on cross-border deals.

We are seeking an Associate to join our dynamic ECM team. Based in our Hong Kong / China office, you will play a key role in advising clients on equity capital raisings, regulatory compliance, and market-shaping deals. This is an opportunity to work on cutting-edge matters in one of the world's fastest-growing economies, contributing to our integrated global practice while developing your leadership skills.

Key Responsibilities:

Technical
  • Assist in the drafting, review, and negotiation of transaction documents and offer documents, including prospectuses, offering memoranda, underwriting agreements, and regulatory filings.
  • Help conduct due diligence, manage deal execution, and provide strategic advice on ECM transactions such as IPOs, follow-on offerings, rights issues, and equity-linked instruments.
  • Advise clients on regulatory frameworks and cross-border listing, while coordinating with local counsel as needed.
  • Client Relationship Management
  • Helping to advise clients under appropriate supervision.
  • Providing commercial and legal advice to clients.
  • Demonstrating market knowledge to identify current trends and concerns in relevant industry sectors.

Business Development
  • Participating in client marketing and developing networks with other professionals, participating at conferences or professional organizations.
  • Contributing to quality know-how and transaction bibles and their upkeep.
  • Collaborating with cross-practice teams on integrated deals and contribute to business development initiatives.

Qualifications and Experience
  • Common law or US qualified
  • Minimum 1 year of post-qualification experience (PQE) gained in the US at a top-tier firm is preferred. We are also open to strong calibre at 2-3 PQE with solid experience in ECM at top-tier firms in HK/China.
  • Strong background in capital markets and US securities laws.
  • Proven ability to assist on complex, multi-jurisdictional projects under tight deadlines.
  • Strong academic background of JD graduate is preferred.

  • Strong commercial acumen and the ability to provide client-centric advice.
  • Effective communicator, capable of building rapport with clients, colleagues, and stakeholders.
  • Team player with leadership potential, comfortable supervising juniors and driving deal efficiency.
  • Proactive, adaptable, and committed to continuous learning in a fast-paced environment.
