Review various company transaction projects, issue legal review opinions, and identify legal risks, including but not limited to cross-border mergers, acquisitions and disposals, equity and debt transactions, and other corporate matters.
Manage the negotiation, review, and finalization of various Chinese and English transaction documents.
Appoint external legal counsel, establish communication mechanisms with external lawyers, optimize the lawyer resource database, and participate in regular lawyer performance assessments.
Assist in handling company dispute resolution matters, including litigation, mediation, arbitration, takeovers, and other procedures.
Handle other legal and compliance matters assigned by the company.
Requirements
Full-time bachelor's degree or above.
3 - 5 years of experience in a law firm or as in-house corporate counsel.
Excellent legal writing skills, with proficiency in drafting and reviewing various international contracts and legal documents.
Proficient in Mandarin and English, with strong adaptability, communication, teamwork, and crisis management abilities.
Preference for candidates holding a Hong Kong solicitor's practicing certificate or a practicing qualification from another common law jurisdiction.
