Job Description - Legal Counsel / Head of Legal - Natural Resources
The Company
A rapidly-growing natural resources company is looking for an all rounded Legal Counsel to support the business expansion.
The Role
Corporate & Governance
Act as the principal legal advisor to senior management and the Board on all legal and governance matters
Establish, maintain, and enhance corporate governance frameworks in preparation for potential IPO
Support Board and committee processes, including resolutions, minutes, and policies
Commercial & Operational Legal Support
Draft, review, and negotiate a wide range of commercial agreements, including:
Joint ventures and strategic partnerships
Supply, offtake, and services agreements
Exploration, development, and operational contracts
Provide pragmatic legal advice to business teams on day-to-day operational matters
Regulatory & Compliance
Oversee compliance with relevant natural resources, environmental, health & safety, and licensing regulations
Develop and implement company-wide compliance policies, controls, and training programs
Monitor regulatory developments and assess impact on business operations
Liaise with regulators, governmental bodies, and industry stakeholders as required
IPO & Capital Markets Support
Support IPO readiness, including legal due diligence, prospectus disclosure, and regulatory filings
Work closely with investment banks, external counsel, auditors, and other professional advisors
Advise on ongoing disclosure obligations and post-listing compliance requirements
Your Profile
Experience & Qualifications
10-15 years of relevant legal experience, with a mix of law firm and in-house experience preferred.
Prior experience within natural resources, mining, energy, infrastructure, or related sectors is highly desirable
Exposure to Pre-IPO, IPO, or listed company environments is strongly preferred
Qualified lawyer in a common law jurisdiction (e.g. HK, UK, Australia, Singapore, US)
Personal Attributes
Familiarity with China-based business environments and Mandarin-speaking corporate culture, with the ability to work effectively with Chinese stakeholders, partners, and regulators
Commercially minded, pragmatic, and solutions-oriented
Open to hands-on work
