Legal Counsel (Secondary Markets)

Job Descriptions 工作描述：

Reporting to the Senior Legal Counsel, the successful candidate will be responsible for:

• The structuring and documentation of securities and structured transactions, plus the provision of legal advice directly to the relevant business line;

证券及结构化交易产品的结构设计和法律文件编写, 并为相关业务线提供法律咨询；

• Assisting the Senior Legal Counsel in reviewing and negotiating contracts / documents;

协助高级律师进行合同/文件的审核及谈判；

• Providing support to and handling other assignments designated by Senior Legal Counsel from time to time.

完成高级律师分派的其他工作。

任职资格

Skills and Abilities 技能与能力：

• At least four years of relevant experience, gained from international law firm/ bank;

具有不少于4年来自国际律师事务所或国际投行的相关经验；

• Relevant experience in a Hong Kong or international investment bank preferred but not required;

具有在香港或国际投资银行相关工作经验者优先；

• Must have experience in various aspects of wealth management business, including brokerage, financial product issuance and/or distribution, etc.

必须具备财富管理业务相关经验，包括经纪业务、金融产品发行和/或分销，等；

• Must be familiar with SFO, Companies’ Ordinance, SFC’s licensing regime, ISDA documents, HKEX rules, etc.

必须对《证券及期货条例》、《公司条例》、证监会的牌照制度、ISDA文件、香港交易所规则等熟悉；

• Exposure to derivatives / structured products preferred;

对衍生品及结构化产品有一定认识者优先；

• Excellent legal drafting and communication skills;

优秀的法律文件起草及沟通能力；

• Proficiency in Mandarin preferred but not required;

持流利普通话者优先；

• High integrity and professional ethics;

具备高度诚信意识及职业道德；

• Proficient communication skills and interpersonal skills;

具备出色的沟通能力和人际交往技巧；

• Willing to work hard and under pressure;

勤奋工作并具备抗压能力；

• Basic office computer skills.

具备基本的办公电脑技能。

Qualifications 资格：

• A law degree from a law school with HK, UK or US qualification law practice license.

从法学院法律专业毕业，并拥有香港、英国或美国的律师执业资质。
