Legal Manager, Asset Management

About the Role

We are seeking a highly motivated and experienced lawyer to provide strategic legal support to our growing asset management business. This is a pivotal role where you will have broad exposure to the full spectrum of our products and activities, working closely with investment, sales, and operation teams to drive business objectives while safeguarding the firm.

Key Responsibilities:

Fund Formation & Maintenance:

• Lead the legal work for the establishment and ongoing maintenance of various investment vehicles, including SFC-authorized funds, hedge funds, and products utilizing QDII, RQFII, and other cross-border investment schemes.

Sales, Marketing & Distribution:

• Advise on the legal aspects of sales, marketing practices, and cross-border distribution strategies.
• Negotiate institutional investment management agreements (IMAs) and advise on discretionary account mandates.
• Review and approve marketing materials, financial reports, and commentaries to ensure compliance with SFC and other relevant regulations.

Investment & Transactions:

• Provide legal risk assessment and structural advice on investment transactions across global markets (e.g., US, HK, Europe).
• Draft, review, and negotiate a wide range of agreements related to front and back-office operations.

Regulatory & Strategic Initiatives:

• Advise on market entry strategies and regulatory matters related to Northbound/Southbound Connect schemes and other PRC qualified investor programs.
• Support ad-hoc business projects and provide general corporate and commercial legal advice.
• Contribute to the enhancement of the firm's governance and control framework.

Requirements:

• Hong Kong qualified lawyers with 5+PQE, preferably gained from international law firms, asset management firms or investment banks
• Solid legal knowledge and experience in handling asset management related matters
• Strong sense of responsibility, diligence, integrity and professional ethics
• Be able to work independently with good commercial sense
• Have sound knowledge of private funds, financial products and the related regulatory rules & requirements
• Professional bi-lingual written and spoken fluency in English and Mandarin
• Good team player
