At PwC, our people in deals focus on providing strategic advice and support to clients in areas such as mergers and acquisitions, divestitures, and restructuring. They help clients navigate complex transactions and maximise value in their business deals.

In capital markets accounting advisory services at PwC, you will focus on providing strategic guidance on a broad range of technical accounting, financial reporting, transaction structures and capital markets topics. You will advise clients on complex accounting advisory and financial reporting issues around deals (both public and private) and other transformational business events that may impact an organisation’s value.

About the team

The Capital Markets, Accounting Advisory and Structuring (CMAS) team advises clients on accounting, company law and capital markets matters across both transactions (including M&A, listings, and debt raises) and business-as-usual scenarios (including finance transformation, accounting and regulatory change, and internal restructures).

Our multidisciplinary team brings deep technical expertise and broad market experience across a wide range of industries. We support senior clients as they navigate an increasingly complex and rapidly changing environment, helping them design solutions that meet commercial objectives while addressing regulatory, accounting, and capital markets requirements. In Deals, we provide strategic guidance across mergers and acquisitions, divestitures, restructurings and transformational business events, helping clients navigate complex transactions and maximise value. We advise multi‑national, publicly‑traded companies and private equity firms on a broad range of technical accounting, financial reporting and capital markets topics, including IPOs, debt offerings, private placements and post‑deal accounting.

Our Deals and CMAS teams are based in UK and Kolkata and you will be in a location with Deals Financial Due Diligence teams based in India, as well as the CMAS team in Kolkata.

The role

As a Manager in CMAS, you will play a key role in delivering complex technical engagements, supporting senior leaders, and managing teams.

You will work closely with clients across multiple industries (including energy, technology, financial services, and retail/consumer) both in the UK and internationally. CMAS sits within the Deals Line of Service, and you will regularly collaborate with colleagues across PwC (including M&A Tax, Valuations, and Deals Strategy) as well as banks, lawyers, and other advisors.

Managers in CMAS take ownership of substantial workstreams, support the design of technical solutions and transaction structures, coach junior team members, and contribute to building strong client relationships. You will be a key part of small, specialist teams with the opportunity to engage in discussions with Partners, Directors and client teams. You will be accountable for planning, budgeting, execution and completion of projects, partnering with leadership to drive collective ownership of quality, timelines and deliverables. You will lead with integrity and authenticity, articulating our purpose and values, and you will embrace technology and innovation to enhance delivery, including the use of digitisation tools and data‑enabled approaches.

Your responsibilities

As a Manager, your responsibilities will include:

  • Working in, and in some instance leading, teams and major workstreams on transactions and advisory projects across accounting, financial reporting, structuring and capital markets topics, with accountability for project planning, budgeting, execution and successful completion.
  • Developing technical solutions to support clients on key transactions and corporate events, including complex accounting analyses and structuring considerations.
  • Delivering high-quality technical outputs, such as accounting memorandums, structuring papers, regulatory analyses, and client presentations.
  • Coordinating multidisciplinary PwC teams across lines of service and international territories to deliver integrated advice on transactions.
  • Supporting client relationship development, helping senior team members identify opportunities and contribute to business growth.
  • Managing and coaching junior colleagues, ensuring effective delivery, quality review, and development support.
  • Mentoring and developing team members, using review as an opportunity to deepen expertise, and addressing conflicts or issues with clients and stakeholders, escalating as appropriate.
  • Collaborating with senior client stakeholders and other advisers, often across multiple jurisdictions.
  • Project management skills with the ability to manage time, prioritise time-sensitive projects, and successfully collaborate with internal and external stakeholder groups to manage them through transformational events.
  • Analysing and identifying linkages across the component parts of complex systems (business, accounting and reporting), to inform pragmatic, commercial solutions.
  • Upholding professional and technical standards, the Firm’s code of conduct, and independence requirements.
     

Skills and experience

Essential

  • ACA (or international equivalent) qualification.
  • Strong technical accounting skills, with experience in IFRS (and ideally UK GAAP).
  • Demonstrated interest in transactions, accounting advisory and capital markets topics.
  • Experience delivering high-quality technical analysis and client-ready reports.
  • Strong project management skills, including ability to manage timelines, coordinate stakeholders, and oversee multiple workstreams.
  • Effective verbal and written communication skills, with the ability to explain complex concepts clearly.
  • Strong commercial awareness and the ability to understand and solve client problems with a practical, business-oriented mindset.
  • Experience supporting or leading smaller teams on engagements.
  • Proven ability to lead teams and manage client accounts, motivating, developing and inspiring others to deliver quality.
  • Commitment to technology‑enabled delivery, including use of digitisation tools and working with large, complex data sets.

Desired

  • Experience advising clients on practical business issues involving accounting or capital markets considerations. Including IPO readiness, debt offerings, private placements, acquisitions, alliances, post‑deal accounting, restructurings, restatements, bankruptcies and GAAP conversions.
  • Experience with US GAAP and SEC reporting is an advantage for capital markets and cross‑border transactions.
  • Demonstrated ability to build internal and external networks.
  • Agility in learning new tools, technologies and accounting frameworks.
  • Prior experience in a professional services environment managing multi‑disciplinary teams and complex engagements.
