Chief Manager- Legal

Position Summary

The Chief Manager - Legal is responsible for managing contracts, land and litigation matters in support of Resonia's transmission projects. The role involves drafting, reviewing and negotiating contracts, providing legal opinions, conducting land and title due diligence, supporting bids and SPV acquisitions, and handling litigation, while ensuring legal and commercial risk mitigation and compliance with applicable laws and internal policies.

Key Accountabilities / Responsibilities

1. 
   

   Contract Drafting, Review & Negotiation

   
   
   
   
   • 
     

     Draft, review and vet contracts including EPC, O&M, supply and service, transmission and utility, financing and international agreements, NDAs and MOUs.

     
     
   
   
   • 
     

     Negotiate with external counterparties to secure favourable legal positions aligned with business objectives.

     
     
   
   
   • 
     

     Conduct risk analysis to ensure legal and commercial risk mitigation before entering into contracts.

     
     
   
   
   
   


2. 
   

   Legal Opinions & Advisory

   
   
   
   
   • 
     

     Provide legal opinions on bidding strategy and compliance, RoW and land acquisition, TSAs and SPAs.

     
     
   
   
   • 
     

     Advise on indemnity claims and contractual payment disputes.

     
     
   
   
   
   


3. 
   

   Land & Title Due Diligence

   
   
   
   
   • 
     

     Conduct land-related legal due diligence and title verification for project development.

     
     
   
   
   • 
     

     Assess legal risks in land procurement and RoW

     
     
   
   
   
   


4. 
   

   Bid Review & SPV Acquisition Support

   
   
   
   
   • 
     

     Review final bid submissions and resolve bid-related legal queries for timely and accurate submissions.

     
     
   
   
   
   

Critical Success Factors - Essential

• Hands-on experience in the power sector


• Knowledge of contractual, business, commercial, real estate and property laws


• Experience in drafting EPC, service and supply contracts


• Ability to negotiate effectively with partners and counterparties


• Ability to manage internal and external stakeholders and close work in defined timelines

Critical Success Factors - Desirable

• Legal and industry background


• Understanding of latest market developments, legal changes and court judgments


• Experience in land due diligence and RoW matters


• Exposure to bid review and SPV acquisition due diligence


• Experience in arbitration and commercial litigation
