We are seeking a skilled Company Secretary (CS) who can effectively work at the crossroads of corporate governance, legal contracting, and regulatory compliance. This position extends beyond traditional secretarial duties, blending governance discipline with business-oriented legal advisory, particularly within a dynamic sports-tech setting encompassing digital platforms, intellectual property, and international contracts. You will serve as a vital support for business teams by ensuring adherence to regulations, reducing legal risks, and enhancing the efficiency of contract management.
Requirements
Key Requirements:
Company Secretarial & Compliance
Ensure adherence to the Companies Act, 2013, and associated regulations.
Oversee the complete management of Board, committee, and shareholder meetings.
Prepare agendas, notices, minutes, and resolutions.
Maintain statutory registers and perform filings with the Ministry of Corporate Affairs (MCA).
Manage annual filings such as AOC-4 and MGT-7, along with event-driven filings like DIR-12, PAS-4, SH-4, etc.
Provide support for corporate activities including ESOPs, fundraising, and restructuring.
Coordinate with auditors, regulatory bodies, and external consultants.
Legal & Contracting
Draft, review, and negotiate commercial contracts, including:
Client agreements (leagues, teams, broadcasters, OTT platforms)
Vendor and technology agreements
Licensing, intellectual property, and content contracts
Provide legal guidance to business teams on:
Intellectual Property (IP) risks
Data privacy and protection matters
Commercial risk considerations such as liability, indemnity, and service level agreements (SLAs)
Support international and cross-border contracting processes.
Standardize contract templates and enhance contract turnaround times.
Regulatory & Risk Advisory
Ensure compliance with regulations relating to digital and IT sectors.
Assist in complying with data privacy frameworks applicable in India and globally.
Identify and mitigate risks concerning:
Content usage
Sports data rights
Digital platforms and fan engagement products
Help develop internal compliance frameworks and standard operating procedures (SOPs).
Stakeholder Management
Collaborate closely with business units including Sales, Product, Content, and Technology.
Coordinate with Finance and senior leadership on matters related to risk and compliance.
Engage with external legal counsel as required.
Serve as a business facilitator rather than merely a compliance enforcer.
Background and Experience:
Experience
3–5 years of experience in:
Corporate secretarial and legal roles (preferably in-house)
Or a combination of law firm and in-house experience
Qualifications
Mandatory: Qualified Company Secretary (CS)
Preferred: Bachelor of Laws (LLB)
Core Skills
In-depth knowledge of the Companies Act, 2013, and governance structures.
Proven expertise in contract drafting and negotiation.
Familiarity with:
Technology, media, sports, or digital business sectors (preferred)
Intellectual Property and data privacy regulations
Capability to manage high-volume and fast-paced contract workflows.
Key Skills
Strong analytical and commercial judgment skills.
Excellent attention to detail and a strong sense of ownership.
Ability to balance legal risks with business objectives.
Effective stakeholder management and communication abilities.
Desirable Attributes
Exposure to international contract negotiations.
