Job Description - Company Secretary - Mumbai

We have been retained by a leading company in the Construction and Infrastructure Sector to search and place a Company Secretary with them. The ideal candidate will be an excellent leader and shall be reporting to the Managing Director of the company with a dotted line reporting to the Chief Executive Officer.

The incumbent will be responsible for ensuring the company’s compliance with statutory and regulatory requirements under the Companies Act, 2013, SEBI regulations, and other applicable laws. The role also involves advising the Board on governance matters, managing shareholder relations, and maintaining corporate records.

Key Responsibilities:

Compliance Management:
  • Ensure compliance with the Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and other statutory requirements applicable to a listed real estate company.
  • Oversee the filing of returns, forms, and documents with regulatory authorities like MCA, SEBI, Stock Exchanges, etc.
  • Manage compliance with real estate -specific regulations such as RERA (Real Estate Regulatory Authority).
Corporate Governance:
  • Advise the Board of Directors on corporate governance best practices and regulatory updates.
  • Ensure the company's corporate governance framework is robust, with a focus on transparency, accountability, and ethical business conduct.
  • Facilitate the Board meetings, including the preparation of agenda, minutes, resolutions, and maintaining statutory registers.

Board & Shareholder Relations: 
  • Organize and manage the Annual General Meeting (AGM) and other shareholder meetings, ensuring compliance with statutory requirements.
  • Liaise with shareholders and handle all queries and communications effectively.
  • Manage the release of shareholder communications, including notices, circulars, and annual reports.
Secretarial Duties:
  • Maintain and update the statutory registers, records, and minute books as per legal requirements.
  • Draft and review agreements, contracts, and legal documents related to corporate affairs.
  • Handle the issuance and transfer of shares, and manage shareholding patterns and dividend distributions.
Legal Advisory:
  • Provide legal advice on corporate law, contracts, and other relevant legal issues.
  • Liaise with external legal advisors, regulatory bodies, and government authorities.
  • Represent the company in legal proceedings related to corporate matters, if required.
Regulatory Filings & Reporting:
  • Prepare and submit necessary reports, forms, and declarations as required under SEBI, MCA, and other regulatory bodies.
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
Risk Management:
  • Assist in the identification and management of legal and compliance risks.
  • Implement risk management policies and procedures, especially concerning corporate governance and compliance.
Stakeholder Management:
  • Engage with institutional investors, analysts, and other stakeholders, providing necessary disclosures and ensuring transparency.
  • Manage relationships with stock exchanges and regulatory bodies.
Team Leadership:
  • Lead and mentor the secretarial team, providing guidance on professional development and compliance best practices.
  • Ensure continuous professional development to keep abreast of changes in regulations and industry practices.

Requirements

Qualifications & Experience:

Education: Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).

Experience: Minimum 10 -15 years of experience in a similar role, with a strong understanding of corporate governance, legal, and compliance functions in a listed company, preferably in the real estate sector.

Knowledge: In -depth knowledge of the Companies Act, 2013, SEBI regulations, RERA, and other relevant laws and regulations.

Skills: Excellent communication, interpersonal, and leadership skills; strong analytical and problem -solving abilities; attention to detail; ability to handle multiple tasks and deadlines.

  • Proactive and able to work independently.
  • Strong organizational skills with an ability to prioritize effectively.
