Manages legal business matters pertaining to the organization. Provides a variety of general corporate and commercial legal services to a number of in-house clients. Performs litigation on the company's behalf or coordinates litigation and other legal matters handled by outside counsel. Legal Advisory & Cross-Border Support Be part of the legal team and serve as the trusted business legal partner for the India business, supporting senior management on corporate, commercial, regulatory, and employment matters. Draft, review, and negotiate complex commercial, technology, licensing, distribution, and services agreements, including cross-border contracts. Support global and regional transactions, including M&A, joint ventures, restructuring, and inter-company arrangements. Manage disputes, litigation, arbitration, and investigations in India, in coordination with global legal teams and external counsel. Provide practical, business-focused legal guidance aligned with global risk appetite and compliance frameworks. Corporate Secretarial & Governance (India Entities) Act as the Company Secretary for Indian group entities, ensuring compliance with the Companies Act, 2013 and applicable SEBI, FEMA, and RBI regulations. Plan, manage and execute Board, Committee, and General Meetings for Indian entities, including agendas, papers, minutes, and resolutions. Maintain statutory records, filings, and disclosures with ROC, MCA, RBI, and other regulators. Advise Boards and senior management on corporate governance best practices and evolving regulatory requirements. Support corporate actions such as incorporations, capital structuring, inter-company transactions, and entity rationalization. Experience in trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry as well as SEC reporting. LLB from a premier university; enrolled with the Bar Council of India. Qualified Company Secretary (ACS / FCS) with the Institute of Company Secretaries of India (ICSI). 12+ years of PQE, with significant in-house experience in an MNC or large corporate environment. Strong experience in cross-border transactions, global compliance frameworks, and Indian regulatory matters. Proven ability to engage with Boards, C-suite executives, and global stakeholders.
