Position Overview
The Investor Relations Manager leads end -to -end execution of Private Equity Fundraising, M&A Transactions, IPO Advisory, Real Estate Investments, and SEBI -regulated financial services. The role requires strong technical capability, regulatory awareness, stakeholder management, and proven experience handling complex financial transactions.
Key Responsibilities
Mergers and Acquisitions (M&A)
• Structure and execute M&A transactions including asset purchases, share sales, slump sales, demergers, and reverse mergers.
• Perform synergy assessments and develop detailed financial models.
• Lead due diligence across financial, legal, tax, and operational areas.
• Draft and review transaction documentation such as NDA, LOI, SPA, BTA, SHA, and DDR.
• Manage regulatory compliance involving NCLT, SEBI, CCI, and FEMA.
• Oversee data room administration and stakeholder coordination.
Private Equity and Equity Fundraising
• Build and manage deal pipeline and evaluate investment opportunities.
• Prepare investor materials such as teasers, CIM, PPM, financial models, and presentations.
• Conduct cap table analysis and guide term sheet negotiations.
• Maintain investor relations and outreach activities.
• Support drafting of subscription agreements, SHA, and fund documentation.
IPO Advisory
• Assess IPO readiness and ensure compliance with SEBI listing norms.
• Coordinate with merchant bankers, auditors, lawyers, and regulators.
• Draft and review DRHP, RHP, and statutory filings.
• Support valuation, positioning, and roadshow execution.
Real Estate Investment Advisory
• Evaluate real estate assets for acquisition and investment.
• Manage title diligence, SPV structuring, land aggregation, and RERA compliance.
• Prepare feasibility studies and lease versus buy assessments.
• Liaise with developers, legal teams, and authorities.
SEBI -Regulated Activities
• Ensure adherence to applicable SEBI regulations including AIF, ICDR, LODR, SAST, and PIT.
• Handle documentation, filings, disclosures, and investor communications.
• Support regulatory reviews, inspections, and correspondence.

Technical and Functional Skills
• Expertise in financial modelling (DCF, LBO, merger models, comparables).
• Strong understanding of corporate law, taxation, regulatory frameworks, and transaction structures.
• Proficiency in Excel (advanced), PowerPoint, Bloomberg, Capital IQ, CRM systems, and virtual data rooms.
Soft Skills
• Strong communication, negotiation, and stakeholder management abilities.
• High analytical capability and attention to detail.
• Ability to handle multiple transactions under tight timelines.
• High integrity with strong confidentiality standards.
Qualifications
• CA, MBA (Finance), CFA, CS, or LLB preferred.
• Certifications in M&A, NISM AIF/RIA, RICS, REIT, or equivalent are beneficial.
• 5–10 years of experience in investment banking, private equity, corporate finance, real estate, or advisory roles.
