• LL.B. is mandatory. LL.M. in Corporate Law, Commercial Law, or Construction Law will be an added advantage.
Experience:
• 6–10 years of relevant experience in Contracts Management / Commercial Contracts / Corporate Legal.
• Experience in EPC, infrastructure, construction, engineering, real estate, manufacturing, or project-based organizations is preferred.
Job Summary
The position will be responsible for end-to-end legal and commercial management of contracts, including contract drafting, review, negotiation, execution, compliance, risk assessment, and contract administration. The role will work closely with business, projects, procurement, finance, and senior management to safeguard the company's contractual and commercial interests.
Key Responsibilities:
• Draft, review, negotiate, and finalize commercial, EPC, construction, consultancy, vendor, subcontractor, service, purchase, and other corporate agreements.
• Manage the complete contract lifecycle from pre-contract review through execution, amendments, renewals, and closure.
• Identify contractual legal, commercial, financial, and operational risks and recommend appropriate mitigation measures. This document containsinformation intended solely forthe recipient. Unauthorized distribution, reproduction, or use of this material isstrictly prohibited.
• Review key contractual clauses including scope of work, payment terms, milestones, liquidated damages, penalties, warranties, indemnities, insurance, limitation of liability, termination, force majeure, dispute resolution, and applicable law.
• Provide legal and contractual support to project and business teams on claims, variations, extensions of time, delays, deductions, disputes, and contractual notices.
• Coordinate with internal stakeholders, clients, consultants, contractors, vendors, and external legal counsel on contract-related matters.
• Ensure timely issuance and response to contractual notices, letters, claims, and correspondence.
• Maintain a centralized contract repository, contract tracker, obligations matrix, and renewal/expiry schedule.
• Support management in contract negotiations, dispute resolution, arbitration, mediation, and litigation-related matters.
• Ensure contracts comply with applicable laws, company policies, delegated authority, and internal approval processes.
• Conduct contract risk assessments and provide clear recommendations to senior management before contract execution.
• Monitor contractual obligations and ensure timely compliance by relevant internal departments. • Develop and standardize contract templates, clauses, checklists, SOPs, and contract management processes.
Key Skills
• Strong knowledge of Contract Law, Commercial Law, Corporate Law, and Contract Management.
• Strong drafting and negotiation skills.
• Understanding of EPC / construction / infrastructure contracts.
• Excellent analytical and risk-assessment capabilities.
• Ability to interpret complex contractual and commercial provisions.
• Strong communication, stakeholder management, and negotiation skills.
• Proficiency in MS Office and contract management systems.
• Ability to independently manage multiple contracts and priorities.
