We are seeking an experienced and proactive legal professional with experience in corporate legal, contract management, and compliance functions. The ideal candidate will possess strong expertise in commercial contracting, corporate governance, statutory compliance, and Company Secretarial matters.
Key Responsibilities
Contract Management: Independently draft, review, negotiate, and manage various commercial agreements including NDAs, MSAs, SOWs, vendor and customer contracts, technology and licensing agreements.
External stakeholders : Liasioning with external stakeholders.
Corporate Compliance & CS Support: Ensure compliance with Companies Act, 2013; manage statutory registers; assist in preparing board and shareholder resolutions; and support corporate governance requirements.
Real Estate & Land Laws: Review and manage documentation related to property leases, rentals, office space agreements, and related legal matters.
Employment & Labour Laws: Provide guidance on employment -related issues, contract labour, internal policies, and assist HR with compliance under applicable labour laws.
Data Protection & Privacy: Support implementation of data protection practices and review contractual provisions for compliance with applicable privacy regulations (e.g., GDPR, DPDP Act).
Company Secretarial Coordination: Liaise with external company secretarial consultants to ensure compliance with Companies Act requirements, statutory filings, and board -related documentation.
Legal Compliance: Stay updated on legal and regulatory developments and support implementation of required changes in business processes, contracts, and policies.
Internal Advisory: Work closely with HR, Finance, Admin, Procurement, and Business teams to provide sound and practical legal guidance aligned with business objectives.
Legal Operations & Risk Management: Maintain contract repositories, compliance trackers, secretarial records, and support continuous improvements in legal operations and documentation.
Required Skills & Qualification
Bachelor’s degree in law (LL.B.) is required.
Company Secretary (CS) qualification or strong knowledge of CS and corporate compliance is preferred.
10+ years of experience in a corporate legal function or a mix of in -house and law firm roles.
Familiarity with common law systems and experience supporting international subsidiaries.
Solid understanding of commercial and corporate law with hands -on experience in end -to -end contract handling.
Exposure to land laws, labour laws, data protection regulations, and statutory corporate compliance.
Collaborative mindset with strong interpersonal and communication skills.
Ability to manage multiple stakeholders and deadlines with professionalism.
