Role : Manager- Legal (BPO + IT Technology Exp)
Location : Bangalore
Industry Experience : This position requires hands on working experience in BPO + Product Development Organization.
Qualification : Bachelor of Laws (L.L.B)
Experience : 6 to 8 years of relevant experience in corporate legal review, contractual negotiations, contract management activities and stakeholders’ management in BPO or IT Services.
Responsibilities
Global Customer Contract support model
- Creates and maintains procedures to keep and maintain the Company’s Contract Reporting System (CRS) post “ratification.”
- Assists in the formalization of an improved process for tracking and computing Service Level Credits and acting as the front-line legal support in evaluating claims.
- Assists in simplification of contract forms to allow for ‘follow-the-sun’ support at the contract creation stage.
- Evaluates Fluid and other Company workflow tools to assist in Company’s simplification and efficiency mandates.
- Developing and implementing processes for efficient and streamlined operations surrounding contract negotiation and processes.
- Responsible for reviewing non-disclosure agreements, statement of work/work orders, Service Agreements, Data Privacy Agreements, change orders and other documents related to commercial transactions.
- Serving as lead counsel on strategic deals, resolving issues that arise in existing commercial relationships, and handling pre-litigation legal disputes and inquiries.
- Providing time-sensitive support on a wide array of legal inquiries concerning all aspects of your country’s operations
Global Vendor Contracts and procedures
- Oversees the implementation and maintenance of worldwide procurement procedures on behalf of the legal department.
- Owns first level responsibility for vendor requests in APAC (AUS, IND, PHI, SING, etc.)
- Manages the identification and tracking of “Key Vendors” including, for example contractors, license-in, and other critical or “high risk” vendors.
- Responsible for reporting on the status of these vendors.
- Global Readiness Program (aka Legal Data Hub)
- Creates and maintains Company’s “Due Diligence – Lite” Presentation and procedures to populate a diligence data room.
- Provides first line support for the Company’s service level credit assessment (for the legal portion of the process and assisting the Company in improving current procedures.
Subsidiary Maintenance
- Maintains relationships with international legal representatives to track and support corporate formalities for international subsidiaries.
- Provides first level support in updates.
- Specifically, manages Australia merger of AUS and ANZ subsidiaries.
Ad-hoc assignments at General Counsel
- Engages and supervises temporary staff at the ready for specific projects.
- Provides dotted-line supervision for local in-house counsel on special projects.
- Assists in research relating to international employment issues and drafting of related employment agreements.
- Contributes to investigations.
IP office
- Oversees and administers all [24]7 IP, including patents, trademarks, copyrights, domain names and other [24]7 IP.
- Assists in the creation of Company IP assets by assisting the relevant departments, in protecting innovations that are being researched or have been developed in the organization.
- Educates the organization on identifying and protecting IP as it gets generated.
- Negotiates and reviews agreements with third parties for the acquisition of patents and other IP.
- Manage activities that foster innovation culture.
- Works with the management and technical teams to identify key ideas that must be patented.
- Works with the company’s legal counsel to manage patent attorneys.
- Manages para-legal vendors and their contracts.
- Works with IP services Vendor, [24]7 Legal counsel and Inventors for filing provisional patents.
- Works with patent attorney, [24]7 Legal counsel and Inventors for filing utility patents.
- Manages the legal (in conjunction with the legal counsel) and rewards budget required to create and maintain Company IP
- Manages and improves costs and efficiencies in [24]7’s patent program.
- Prepares analyses and reports relating to the company’s patents.
- Integrates patent development processes at companies acquired by [24]7.
Qualifications & Desired Experience
- Graduate from a top tier law school with 6- 8 years of experience
- Ability to multi-task and work independently with little supervision.
- The person would be expected to work with a cross-functional team while completely owning the documents assigned to the person.
- Given the flexibility in work timings, the person will be responsible for meeting all deadlines, including short review and turn-around cycles. This may require the person to match their work timing with senior lawyers in other countries.
- A person should be comfortable working independently with minimum guidance.
- Should have the ability to be proactive in reaching out and escalating issues and following up with effective execution.
- Should have strong interpersonal skills – Strong verbal and written communication with skills in achieving effective relationships.
- Concise, direct communication while under pressure, and active knowledge-sharing styles.
- Good understanding of contract laws, including but not limited to laws related to intellectual property, indemnifications, liability, and information technology/business process outsourcing.
- Experienced in coordinating multi-task responsibilities and projects while interacting with cross-functional teams.
- Must be solution oriented.
